The Board of Directors of Hera Spa today approved the Sustainability Report 2022.
The 2022 Hera Group sustainability report:
• reports on the three areas of shared value creation: carbon neutrality, resource regeneration, innovation and resilience;
• contains a focus on EBITDA and shared value investments;
• reports objectives and results considering the Recommendations of the Task Force on Climate-related Financial Disclosures (TCFD);
• proposes a way of reading the results achieved in the direction of the “Just transition”;
• continues the reporting of the digital transformation initiatives according to the Corporate digital responsibility framework;
• reports on Taxonomy (environmentally sustainable economic activities according to EU Regulation 2020/852);
• contains the Green Bond Report on the Green Bond 2022-2029 issued to finance Euro 500 million of investments aligned with the EU Taxonomy.

The sustainability report represents the Consolidated non-financial reporting of the Hera Group according to Art. 3 and 4 of Italian Legislative Decree No. 254/2016 and will be available online from April 5, 2023.

Herambiente S.p.A. acquires 100% of Aliplast S.p.A.

Herambiente S.p.A., a Hera Group company, acquired from minority shareholder Rogroup S.r.l. its entire stake in Aliplast S.p.A., equivalent to 20% of the share capital, thus coming to hold 100% of the company based in Ospedaletto d’Istrana, near Treviso, a European leader in plastic regeneration. This transaction concludes the process of integrating the company founded by Roberto Alibardi into the Hera Group, which began in January 2017 with the purchase of an initial 40% tranche followed by a second 40% in December of the same year. Today, therefore, the purchase of the remaining 20% was finalised, according to the economic conditions set out in the initial agreement. Since its entry into the Hera Group eight years ago, Aliplast has achieved significant growth, especially in the higher end of the recycled plastic market (for example, in the food and health & beauty sectors), bringing it to a turnover of 150 million euro in 2024, with a total production of recycled products coming to 100 thousand tonnes, including PET and LDPE flakes and granules, PET sheets, LDPE films, PP flakes and HDPE. Hera Group approves Code of Conduct for suppliers

The Board of Directors of the Hera Group approved its new Code of Conduct for suppliers. This is an innovative “supplier sustainability agreement” that reinforces the Group’s commitment to promoting a supply chain that is increasingly responsible and in line with ESG (Environmental, Social, Governance) principles. This Code was conceived through a participatory process, which actively involved a representative group of suppliers with whom principles and rules on sustainability and business ethics were shared and a true sustainability deal was co-designed, to stimulate the sustainable growth of the entire value chain. With the Code of Conduct, the Hera Group renews its commitment to recognising and valuing companies that adopt high ethical, social and environmental standards, including through the introduction of bonuses in tenders or in the supplier qualification process. Hera Group ranks 2nd in the ESG Identity Corporate Index 2025 (ex IGI)

At the ESG Business Conference 2025, the Hera Group ranked second among Italian companies for its integration of sustainability policies into its business strategies and corporate governance. This year as well, and for the fifth consecutive time, Hera is among the leaders of the ESG Identity Corporate Index (formerly the Integrated Governance Index) managed by ETicaNews. Hera thus celebrates ten years in the Top 10 of the Index, launched in 2016. And precisely one decade after the ESG Identity Corporate Index project was created, the Group was also awarded three multi-year performance and continuity awards, aimed at companies that participated in all of the last six editions (2020-2025) of ESG.ICI. More specifically, in the Large Cap category, Hera won the awards: Strongest Performer, Best Finance Identity and Best Transition Identity. Hera Group BoD approves results for 1Q 2025

Revenues at 4,321.3 million euro (+28.3%) Ebitda at 418.0 million euro (+0.2%) Net profit for shareholders at 153.7 million euro (+7.4%) Gross operating investments at 191.6 million euro (+22.2%) Net financial debt improves to 3,896.9 million euro, with net debt/Ebitda at 2.45x Today, the Hera Group’s Board of Directors, chaired by Executive Chairman Cristian Fabbri, unanimously approved the consolidated results at 31 March 2025. The first quarter of 2025 closed with growth in operating results and investments, and a degree of financial solidity showing further improvement compared to the end of 2024. This good performance was driven by the Group’s multi-business strategy, balanced between regulated and free-market activities, and its usual focus on sustainability.   Cristian Fabbri, Executive Chairman of Hera Group: “In the first quarter we achieved solid growth in our financial results, further strengthening of our capital position. Ebitda rose to 418 million euro, with a structural increase in margins in all business areas, which offset the end of the non-recurring items. Ebitda rises slightly to 418.0 million Ebitda at 31 March 2025 came up at 418.0 million euro, up slightly (+0.2%) from 417.1 million euro in the first quarter of 2024, confirming strong resilience against macro scenario turbulence. Ebit and pre-tax result increase Ebit at 31 March 2025 rose to 247.2 million euro, up slightly (+0.5%) from 245.9 million euro in the first quarter of 2024. Lower provisions in last resort markets offset higher depreciation related to development capital expenditures, which increased the value of the Group’s assets particularly in regulated sectors and waste treatment, and the new customer acquisition activities in the energy sector. Net profit for shareholders rises to 153.7 million The solid operating and financial performances allowed net profit to rise to 163.8 million euro (+6.8%), compared to 153.3 million euro at 31 March 2024. Hera Shareholders Meeting: 2024 financial statements approved and dividend increases to 15 eurocents

The Hera Extraordinary and Ordinary Shareholders Meeting, chaired by Executive Chairman Cristian Fabbri, approved the 2024 financial statements and payment of a dividend increasing to 15 eurocents per share, in line with what had been previously announced when the 2028 Business Plan was presented, due to the significant results achieved. Also presented to Shareholders Meeting was the Sustainability reporting which, as of this year, is an integral part of the consolidated and separate financial statements at 31 December 2024, as required by the Corporate Sustainability Reporting Directive (CSRD) 2022/2464/EU. Among the various resolutions passed, the Shareholders Meeting also approved an amendment to the Articles of Association, in compliance with Legislative Decree 125/2024 implementing the CSRD. Amendment of Article 29 of the Articles of Association: new position of Manager responsible for Sustainability reporting As part of the European Green Deal, in order to strengthen companies’ reporting obligations, Legislative Decree 125/2024 introduced the possibility of establishing the position of the Sustainability reporting manager. The Shareholders Meeting therefore approved the amendments of the Articles of Association aimed at regulating the procedures for appointment and the requirements concerning experience and professionalism for this new figure, in compliance with current legislation. 2024 financial statements approved with further growth in key indicators The Shareholders Meeting approved the 2024 financial statements, which indicate increases in the main operating and financial indicators and investments. The creation of value for all stakeholders and the Group’s solid equity once again prove the validity of its multi-business model and its ability to combine corporate growth and sustainable development. Among the main results: adjusted Ebitda rose to 1,587.6 million euro (+6.2%), mainly showing internal and structural growth, and the adjusted net profit attributable to shareholders increased sharply, reaching 494.5 million euro (+31.8%). Total operating investments grew to 860.3 million euro (+5.5%), an increase that demonstrates the ongoing focus on developing, enhancing and strengthening the resilience of assets under management, whose resistance was confirmed even during the extreme weather and climate phenomena that hit Emilia-Romagna last autumn. Payment of a dividend increasing to 15 euro cents per share approved The Ordinary Shareholders Meeting approved the Board of Directors’ proposal to pay a dividend coming to 15 eurocents per share, up 7.1% compared to the last dividend paid. The ex-dividend date was set at 23 June 2025, with payment as of 25 June 2025. Aeroporti di Roma and Hera Group still together for a circular approach to operational process management

With Aeroporti di Roma (ADR) we have joined forces to make Rome's Fiumicino and Ciampino airports increasingly sustainable, further developing the circular approach to resource management that has led Rome's airports to send all waste produced by passengers for recovery and to save over 1.4 million cubic metres of drinking water by 2024, using treated water for reuse for all uses where potable water is not strictly necessary. A protocol for the circular management of Rome’s airports The agreement with ADR renewed for another two years after an initial protocol launched in 2022, aims to continue along the path of continuous improvement in waste and water cycle management at the Leonardo da Vinci (Fiumicino) and Giovan Battista Pastine (Ciampino) airports. This project is part of ADR’s sustainability plan, that sets sustainable process management at the heart of the company’s strategy. Waste: more recycled, less discarded In 2024, Fiumicino and Ciampino airports produced over 13,000 tonnes of waste. All the waste produced by passengers was sent for recovery, a result achieved thanks to the effective door-to-door separate waste collection system. Moreover, based on this methodology, it is expected, already by 2025, to further improve the recovery of different types of waste, with a focus on packaging and other significant sectors, to promote prevention, reuse and recycling. Concrete actions will thus be put in place for each type of waste, to reduce waste production and maximise the most virtuous forms of recovery. Water: more efficient management and recovery of the resource Sustainable use of the water resource is a priority strategy for ADR. At Fiumicino Airport, potable water is used for less than 30% of the airport's uses. Thanks to the presence of a dual network, ADR only uses potable water for those uses for which it is actually essential; in other cases it uses “treated” water from recycling or capture. Through advanced monitoring systems based on IoT technologies, we and ADR are working to minimise the risk of any leaks or anomalies in the water network of the two Rome airports, thus further reducing the risk of waste. Wastewater management, an increasingly circular approach Fiumicino Airport, like a medium-sized city, is equipped with two wastewater treatment plants that are directly managed by ADR. Wastewater treatment is an important element of the airport management process and is another key aspect of the collaboration with ADR. For several years now, ADR has been using a dual water network, separating the use of drinking water from that of treated water for reuse, and the water resulting from the purification process is reused for airport uses (toilets, heating systems, watering and fire-fighting systems). Thanks to the support of Herambiente Servizi Industriali (HASI), it has been possible to further develop a sustainable approach to wastewater management by implementing and upgrading water purification systems; the sludge resulting from this process is sent to composting plants for reuse in agriculture. Aliplast boosts recycled PET: PET recycling site acquired from Gurit Italia

Incremental production capacity of 15,000 tonnes Aliplast grows again in recycled PET. Controlled by Herambiente, part of the Hera Group, this company has now acquired the Gurit Italia business unit dedicated to PET recycling, operating in the Carmignano di Brenta (Padua) plant, with an incremental production capacity of roughly 15,000 tonnes of recycled PET per year. An evolving regulatory framework will expand demand for recycled PET This acquisition is part of Aliplast’s broader strategy aimed at responding to the growing demand for recycled PET, which is also a consequence of the evolution of the European and Italian regulatory framework. In particular, legislative decree 196/21, which applies in Italy the so-called Directive 2019/904 SUP (Single Use Plastics), includes among its various requirements as of 1 January the obligation for plastic containers of liquid foodstuffs to contain at least 25% of recycled raw material. An increased use of recycled plastics is also required by the new European PPWR packaging regulation. The production and logistics platform integrated in Aliplast The Carmignano di Brenta plant processes incoming post-consumer PET coming from the recovery chains of the Corepla and Coripet consortia. Thanks to this investment, Aliplast will integrate a new PET grinding, washing and extrusion line, suitable both for food contact (e.g. bottles or food trays) and for use in fibres destined for consumer products such as clothing or automobile accessories. In addition to increasing production capacity, this acquisition will also optimise Aliplast’s logistics chain, which will be able to integrate Gurit’s large storage yards into its flow of goods. Pioneer in the energy transition: mixture with 5% hydrogen injected into a gas network for the first time in Italy

In the Modena area, Inrete Distribuzione Energia, a Hera Group company, has launched Italy’s first injection of a mixture of natural gas and 5% hydrogen into a gas distribution network serving a residential area. These trials are possible thanks to the protocol, unique in Italy, recently signed by Inrete, the Ministry for the Environment and Energy Security (MASE) and the Italian Gas Committee (CIG), which allows for testing, in compliance with the most demanding safety requirements, methane gas mixtures with blending of up to 10% hydrogen in distribution networks. The goal is to create favourable conditions for the progressive enabling of mixtures with increasing percentages of gas with a low fossil carbon content to be used in networks, thus making a concrete contribution to the energy transition. The initiative was presented today in Castelfranco Emilia (Modena) near the construction site of the residential area chosen for the trial, in an event attended by the President of the Emilia-Romagna region, Michele de Pascale; the mayor of Castelfranco Emilia, Giovanni Gargano; the CEO of the Hera Group, Orazio Iacono; the CEO of Inrete Distribuzione Energia, Federico Bronzini and representatives of the CIG. Trials, now in the third phase, to conclude with the last step at the end of the year Since 2021, Inrete has been at the head of a project that has already successfully experimented, twice, with injecting a mixture of natural gas and 2% hydrogen into the gas networks serving the same residential area that is now the focus of the new initiative. Having received full confirmation of the necessary measures, both in terms of technology and safety, the Hera Group company, after signing the protocol with the MASE and the CIG, has launched the third phase of the trials with the aim of exploring the various operational aspects that enable the infrastructure to receive, in its current layout, mixtures of natural gas and 5% hydrogen. The project will come to a conclusion towards the end of the year when, based on the results obtained, the feasibility of testing mixtures with an even higher quantity of hydrogen, up to 10%, will be evaluated. Hera Group unveils FIB3R, a pioneering plant that regenerates carbon fibre

The Hera Group is moving swiftly towards the circular economy of the future and has inaugurated, in Imola (Bologna), the first plant of its kind in Europe, capable of regenerating carbon fibre on an industrial scale. It is called FIB3R, a name that reflects the 3 R's that stand at the basis of the project: recover, reduce, reuse. Carbon fibre is thus recovered and reused, reducing the use of virgin fibre and therefore the environmental impact that would be required to produce it. There is one important competitive advantage: the fibre regenerated from FIB3R retains the virgin fibre’s characteristic lightness and high strength, guaranteeing - through a state-of-the-art pyrogasification process - that the regenerated product is ready to be reused, rewoven and/or impregnated, for the high-performance purposes for which this type of material is intended. The number of industrial sectors interested in these outstanding features is increasing, ranging from automotive to aerospace, nautical, furniture, textiles and fashion in the broadest sense, only to give a few examples.   The Hera Group’s commitment to advancing the ecological transition, as well as the expected increase in demand for carbon fibre over the next few years, have led it to anticipate this megatrend, accepting the challenge of applying it to this material as well, on an industrial scale. This will reinforce the virtuous path towards the circular economy that has been the basis of its strategy for years, combining economic growth with environmental sustainability. This path is the right one, as confirmed by the interest of the European Union, which has allocated FIB3R financing coming to more than 2.2 million euro as part of NextGenerationEU for its innovative technology and the strategic importance of the materials processed. The total investment planned by the Hera Group to build the Imola plant amounts to 8 million euro. At present, the plant is expected to produce 160 tonnes of recycled carbon fibre each year, with energy savings coming to 75% compared to virgin fibre. “FIB3R is the first plant of its kind in Europe able to recycle carbon fibre. Hera Group expands in the Northeast with Ambiente Energia

Binding agreement for 100%. Closing within 1H 2025 The Hera Group continues to grow in the Northeast with the acquisition, from the Marzotto Group, of Ambiente Energia Srl, a company involved in industrial liquid waste treatment at its Schio (Vicenza) plant. In Bologna, a binding agreement was signed for the acquisition of 100% of Ambiente Energia Srl, between Herambiente Servizi Industriali Srl (a subsidiary of Herambiente, which in turn is part of the Hera Group) and Manifattura Lane Gaetano Marzotto & Figli Spa. The acquisition will be closed within the first half of this year, following the usual conditions precedent for transactions of this kind. Transaction in line with the Business Plan to 2028 This transaction is part of the Hera Group’s growth strategy in the Waste management area, as defined by the recently approved Business Plan to 2028. The “structural” growth observed in the preliminary results, mainly supported by factors involved in organic growth, is even more significant when compared to 2023 Ebitda adjusted for non-recurring contributions, totalling roughly 100 million euro, at 1,395 million euro. A robust cash generation, also supported by efficient working capital management, allowed the net debt/Ebitda ratio to remain below 2.6x, in line with the 2023 result. Considering these figures, the dividend policy was revised upwards: the Board of Directors is expected to propose a dividend payment of 15 eurocents per share, up 7.1% with respect to the 2023 coupon paid in 2024, to be compared with the 3.5% growth forecast in the previous Business Plan (14.5 eurocents). BUSINESS PLAN TO 2028 The new Plan’s strategic framework confirms creating sustainable value benefiting all stakeholders thanks to a balanced business portfolio as the Hera Group’s goal, developing resilient industrial assets even in a scenario marked by continuous volatility and an increasing frequency of extreme weather events linked to climate change. Creating value: a target of 1.7 billion euro for 2028 Ebitda, with a 30% rise in profits The Group’s strategy focuses on creating value through four main growth levers: an efficient allocation of capital to investment projects with the best sustainability-risk-return profiles, expansion of market shares, an enlarged scope of operations thanks to M&A transactions and efficiency gains in both operating and financial costs. The plan aims to generate value benefiting all stakeholders, through financial, environmental and social sustainability objectives. The plan envisages a structural growth of Ebitda by 475 million Euro to 2028 with a CAGR of +7% exactly reflecting the targets set out in the previous Business Plan. This structural growth will more than compensates the eventual shortfall during the period covered by the Plan of some temporary business opportunities of the amount of 170 million euro and drive in any case Group Ebitda to 1,700 million euro in 2028, up from the previous target of the Plan to 2027. Focus on the sustainable development of the entire regional ecosystem, with steady growth in shared-value Ebitda, at over 1.1 billion euro in 2028 (66% of total Ebitda) The Hera Group has included initiatives in its Plan that have adequate profitability and are consistent with operating-financial balance, which at the same time guarantee that sustainable value creation is enhanced. By maintaining a focus on decarbonisation, circular economy, resilience and innovation, “shared-value Ebitda” is expected to increase significantly, exceeding 1,100 million euro in 2028, as against 776 million euro in 2023, reaching 66% of the Group’s total Ebitda and respecting the target of 70% in 2030. Industrial partnership between AIMAG and Hera strengthened

The Boards of Directors of AIMAG S.p.A. and Hera S.p.A. agreed to sign a framework agreement that will introduce a new phase in the project for an industrial partnership between the two parties. The transaction will be subject to the usual conditions foreseen for this type of operation and to all communications and approvals by the competent authorities and bodies. The parties expect to complete the transaction within June 2025. The path includes, among other things, a capital increase in kind consisting of a conferral by Hera to AIMAG of an approximately 45% stake in a Newco to which the activities pertaining to the integrated water service in the province of Modena, currently owned by Hera S.p.A., will be transferred, concerning the management of 7,300 km of networks serving approximately 470,000 thousand citizens. As of now, a single hub for Modena’s water cycle will thus be formed, making possible synergies and integrated developments of the current systems and enabling greater investments and significant improvements in the resilience of the water network. This reinforcement of AIMAG’s capital structure, along with the industrial and financial synergies obtained through Hera’s industrial governance, implying its consolidation line by line in the accounts, will enable an investment plan in the 2025-2028 period amounting to a total of over 250 million euro, for AIMAG and the Newco, to enhance the infrastructures of all portfolio activities, with consequent positive effects for all stakeholders. Hera Group: new 500 million euro green bond

The Hera Group has started the year with a new milestone in sustainable finance. The first Italian company to issue a green bond in 2014, today Hera successfully launched its fourth green bond, covered by its "Euro Medium Term Note Programme" (EMTN) bond issue plan, recently updated and increased in its maximum amount. This bond respects the Group’s Green Financing Framework (GFF), prepared on the basis of ICMA principles, aligned with the criteria of the European Taxonomy and certified by an independent firm. The issue attracted significant interest from international investors, receiving orders for approximately 2.75 billion euro, almost 5.5 times the amount offered. With this issue, Hera has once again given the market an opportunity to finance the Group’s strategic projects aimed at the green transition and aligned with the Taxonomy, once again confirming itself internationally as a reference company for sustainable finance. The characteristics of the Group’s fourth green bond and the areas financed The fourth green bond of Hera Group amounts to a total of 500 million euro, repayable in 6.5 years with a 3.250 % coupon and a 3.396% yield. The settlement date of the new issue has been scheduled for 15 January 2025. This green bond consists of senior, non-convertible, unsecured notes, intended for circulation among qualified investors. The new green bond is also expected to be assigned a rating in line with Hera’s. The transaction saw significant participation coming from international investors (in particular, Great Britain, France and Germany), mainly green and sustainable, confirming the interest towards the Group coming from abroad. The bond is expected to be listed, as of the issue date, on the regulated market of Euronext Dublin and, at the same time or at a later date, on the regulated market of the Luxembourg Stock Exchange and on the ExtraMOT PRO multilateral trading system managed by Borsa Italiana. The funds raised will be used to finance or refinance numerous projects, already ongoing or included in the Group’s Business Plan, selected on the basis of the Green Financing Framework (GFF), which work towards one or more of the goals on the UN’s 2030 Agenda for Sustainable Development (SDGs), subdivided into 3 areas: 1. integrated water cycle (aligned to SDGs 6, 13 and 14): construction and extension of infrastructures for water collection, treatment and supply, with projects for wastewater collection and treatment; 2. circular economy, pollution prevention and control (meeting SDGs 11, 12 and 13): advanced projects in plastics regeneration, anaerobic digestion of organic waste for the production of compost and biomethane, and waste collection and transport systems; 3. energy efficiency and infrastructures (consistent with SDGs 7, 11 and 13): production of renewable electricity through photovoltaics and geothermal energy, development of district heating networks, installation, maintenance and repair of energy efficiency equipment and renewable energy technologies, including electricity transmission and distribution grids. Hera Group acquires EstEnergy shares from Ascopiave and increases its holding to 100% of share capital

The Hera Group, acting through its subsidiary Hera Comm, and Ascopiave signed the deed by which the latter transfers 25% of the share capital of EstEnergy, a commercial joint venture established in 2019 which is the largest energy operator in the Northeastern Italy. The Hera Group’s holding in EstEnergy thus rises to 100%, while Ascopiave concludes its withdrawal from the company, after selling an initial 8% in 2022 and a further 15% in 2023. The possibility of dilating the withdrawal over time was a value for both companies, since it allowed Ascopiave’s local roots to be enhanced alongside Hera’s industrial approach to managing sales activities. The customer base’s economic fundamentals thus significantly improved, expressing synergies and opportunities for the supply of value-added services and laying solid foundations for further growth in margins. In five years, by rationalising the number of companies and renewing IT systems, it has been possible to improve the quality of customer relations by combining the local nature of this relationship with a commercial approach in line with the best standards. This has led to increased and reinforced contact channels and types of energy solutions for customers, with the aim of supporting them along the road to decarbonisation. The transaction formalised today, whose value came to approximately 232 million euro, results from Ascopiave exercising the put option for its shareholding in the company, as defined in the agreements signed between the parties when the partnership was established. This amount will be paid within July 2025, at the same time as the transfer of the shares. This transaction, in fact, follows up in full on the agreements made in 2019, which were therefore already fully reflected in the Hera Group’s net financial position. Hera Group receives almost 10 million euro from the NRRP for agrivoltaics

The Hera Group has been awarded 9.4 million euro to finance two pioneering projects in the development of advanced agrivoltaic systems. This funding falls within the measures of the National Recovery and Resilience Plan (NRRP), as Investment 1.1 “Agrivoltaic Development”, under Mission 2 “Green Revolution and Ecological Transition”, Component 2, “Renewable Energy, Hydrogen, Grid and Sustainable Mobility”. The plants will make an important contribution to the energy transition in Emilia-Romagna thanks to their total peak power coming to over 19 MW, equivalent to the consumption of approximately 11,000 Italian households, with savings amounting to 7,700 tonnes of CO³ per year, equal to the absorption capacity of 830 hectares of forest, corresponding to about 1,200 football pitches. More specifically, 6.6 million euro have been allocated to the Hera Group’s project for developing an Energy Park in Faenza, while 2.8 million euros will go to the Cesena project of Horowatt, a newco established by Hera and Orogel, an agricultural cooperative company. These NRRP grants will reinforce the Hera Group’s investments in the renewable energy sector and the installation of agrivoltaic plants, and give further recognition to Hera’s commitment in the field of energy transition and decarbonisation in favour of the areas served. Agrivoltaic development projects are part of the strategy outlined in the Group’s Business Plan, which includes numerous initiatives and investments to achieve carbon neutrality, reduce emissions and increase the production of green energy. These initiatives also fall under the Group’s Climate Transition Plan, which aims to achieve Net Zero emissions by 2050. Horowatt: Orogel’s green agriculture 4.0 revolution Horowatt will construct an innovative agrivoltaic plant at the Cesena facility of the Orogel Group, capable of producing roughly 8 GWh each year, more than 80% of which will be self-consumed energy used by the agricultural cooperative’s own plants. The agrivoltaic plant will be built and managed by Horowatt and will integrate with the existing cogeneration plant built and managed by Hera Servizi Energia, the Hera Group’s ESCo. This is a highly important work, both for reducing Orogel’s energy costs and for its environmental benefits. In fact, it is estimated that the plant will lead to an annual saving of about 2,000 tonnes of carbon dioxide emitted. Faenza Energy Park: an urban forest with renewable energy production The Faenza Energy Park will be built on a vast area, covering about 70 hectares to the west of the city. This new plant will consist of over 22,000 double-sided panels with a total power of about 14 MW and is estimated to produce 21.5 GWh of electricity per year, equivalent to the consumption of about 7,500 families, with an annual carbon dioxide saving of over 5,700 tonnes. The electricity produced will be directly fed into the grid, significantly reducing Faenza’s carbon footprint and increasing the city’s energy self-sufficiency. The Hera Group's engagement in the Global Commitment 2024

The Global Commitment Annual Progress Report 2024, which provides a detailed overview of the progress made by the more than 500 signatories of the Global Commitment in the fight against plastic waste pollution, was presented today. Launched in 2018 by the Ellen MacArthur Foundation in partnership with the United Nations Environment Programme (UNEP), the Global Commitment brings together companies, governments, and NGOs in a concrete effort to promote the transition to a circular economy and innovation in materials and business models, while addressing plastic waste pollution. The signatories to the initiative, including the Hera Group, the only Italian utility company to sign up to it, commit to setting ambitious targets to report on and to publicly report progress annually. The 2024 Annual Report highlights, among others, the following progress: The signatories' efforts have prevented the use of 9.6 million tonnes of virgin plastic since 2018, equivalent to 1 trillion single-use plastic bags. For the sixth consecutive year, signatories continued to increase the use of post-consumer recycled plastic (PCR) containers. By increasing the use of recycled plastic, the signatories are avoiding the extraction of one barrel of oil every two seconds, eliminating the equivalent of the carbon emissions of a city of almost 750,000 people. In particular, the Hera Group has committed to increase the following by 2025 (compared to 2017): plastic collected in the municipalities served by 30%; plastic sorted and sent for recycling in its plants by 50%; plastic recycled by Aliplast by 70%.   The Hera Group’s figures at the end of 2023 indicate that the path taken is the right one. With regard to the plastics collected in the municipalities served, the multi-utility reached its 2025 target three years ahead of schedule, also thanks to the contribution of citizens who, in recent years, have improved sorting with a view to recycling. The decrease in turnover due to lower volumes of gas was more than offset by the higher volumes of electricity sold, thanks to significant commercial development, and by higher tariff revenues in network services for regulated businesses, based on the Authority’s new return benchmarks. Ebitda rises to 1,037.6 million euro Ebitda for the first nine months of 2024 increased to 1,037.6 million euro (+3.1%), as against 1,006.8 million euro at 30 September 2023. This growth was entirely organic and structural, driven by the water cycle and the good performances of the waste management and electricity areas, which allowed the Group to fully offset the loss of margins linked to the super-ecobonus, included in the gas area, and confirming once again the solidity of its multi-business portfolio. Ebit increases to 522.5 million euro Ebit for the first nine months of 2024 rose to 522.5 million euro, up 3.5% from 504.6 million euro in the same period of 2023. This increase was supported by a normalisation of provisions, due to a standardisation in the prices of commodities in energy markets; this partly offset the increase in amortisation related to the trend in investments over the last few years, mainly linked to the development of plants in the waste management sector and in water and energy distribution networks. Financial operations: excellent results in the first 9 months Financial operations for the first nine months of 2024 amounted to 89 million euro, improving by 50.7 million compared to the same period of the previous year, mainly due to the rationalisation of the financial structure. Net profit pertaining to Shareholders up by over 20% At 30 September 2024, net profit amounted to 312.1 million euro (+16.8%), compared to 267.1 million in the same period of 2023, with a tax rate coming to 28%, up slightly mainly due to lower tax benefits. Net profit attributable to Shareholders rose to 282.9 million euro, up 20.1% compared to the 235.5 million euro seen at 30 September 2023. Strong growth in operating investments and the Group’s financial solidity confirmed In the first nine months of 2024, operating investments, including capital grants, amounted to 561.1 million euro, up 47.1 million euro compared to the previous year (+9.2%) and mainly related to development work on plants, networks and infrastructures, as well as regulatory upgrading, particularly in energy and water networks. The Group’s financial solidity was fully confirmed, with a net debt/Ebitda ratio of 2.74x. This figure remained constant throughout the year, leaving ample financial flexibility for potential new opportunities in the future. From 5 to 8 November 2024, the Fiera di Rimini will host Ecomondo, the leading European fair on ecological transition, technological and industrial innovation in environmental services and the green economy, focusing on waste and resources, the circular bio-economy and water. We are at Pavilion C1, Stand 500, with a two-story exhibition space covering 550 square metres, where Hera Group is present along with Herambiente and its subsidiaries (Aliplast, Recycla, Herambiente Servizi Industriali, TRS Ecology, Vallortigara, A.c.r. Reggiani). The stand is decorated with works of art made from recycled materials by SCART, the Hera Group project devoted to the artistic regeneration of industrial waste, in full compliance with the circular economy. This year, SCART presents a new version of the "Gli Animali" project, proposed at Ecomondo in 2015. It is one of the projects that have achieved great success in many traveling exhibitions in recent years, and in 2024 it’s be proposed again with more new works. In addition to the students of the Academies of Fine Arts of Florence and Ravenna, the artists of the SCART community Alberto Salvetti and Fabrizio Giorgi worked on this new exhibition. In the external area of the main entrance dedicated to Hera Group, the “Capodoglio Giovanni” returns, created by Edoardo Malagigi by reusing over 3000 food containers. Panasonic Industry and Hera Group strengthen their partnership for the international distribution of NexMeter

At ENLIT Europe 2024, one of the most important fairs for energy transition focusing on innovations in smart grid technologies for decarbonization, Hera Group and Panasonic Industry Europe strengthen their collaboration by extending the commercial agreement for the distribution of the innovative NexMeter gas meter to the European gas distribution market, with potential future partnerships with global operators. The collaboration between Gruppo Hera and Panasonic dates back to 2019, when the multi-utility launched its 4.0 smart gas meter, equipped with advanced safety and leakage reduction functions, which later evolved in terms of hardware and software. Conceived by an industrial group with a strong focus on sustainability, NexMeter is mainly built with recyclable components. Since 2021, Hera has also introduced recycled plastic components and obtained the “compatibility” label for green gas mixtures such as hydrogen and biomethane. NexMeter is now a consolidated device. The Hera Group’s development plan has led to the installation of about 300,000 meters mainly in Friuli-Venezia Giulia and Emilia-Romagna, areas classified as of high seismic risk. Thanks to its advanced features and shut off valve, the meter can detect gas leaks in the users’ homes, stop the supply in case of dangerous leaks, and alert emergency centers autonomously. To date, 70 alert cases have been recorded, 18 of which avoided serious incidents. Additionally, NexMeter’s extreme sensitivity allows the detection of even small, often hidden leaks, effectively contributing to the reduction of methane emissions into the atmosphere in homes and companies. Hera Group and Saipem's CO₂ capture project will receive nearly €24 million from the EU Innovation Fund

Capturing carbon dioxide emitted from the waste-to-energy plant’s chimneys and storing it in depleted natural gas fields, thereby significantly reducing plant emissions while contributing to the decarbonization of local areas. This is the goal of the pioneering project for the Ferrara plant - proposed by Hera Group, as the lead partner, in collaboration with Saipem - that has been selected to receive funding under the fourth call for mid-scale projects from the EU Innovation Fund. Once the allocation is finalized, the funding for the CO₂ emission capture project will amount to nearly €24 million. This industrial CO₂ capture project is the first of its kind in Italy designed for waste-to-energy plants and among the first in Europe. It involves the application of Bluenzyme™️, Saipem's proprietary and modular solution based on “CO₂ Solutions”, an innovative enzymatic technology for capturing carbon dioxide in industrial processes of small and medium emitters. The initiative was selected by European authorities for its high level of innovation, and its potential replicability in other waste-to-energy plants and other hard-to-abate industrial sectors in Italy, and more generally across Europe. The European Funds will cover a significant portion of the €53 million planned for the construction of the CO₂ capture plant. Depending on opportunities arising from changes in the regulatory framework, the plant is expected to be operational by 2028. The project will fully abate CO₂ emissions from the Ferrara waste-to-energy plant CO₂ capture is a crucial decarbonization tool for waste-to-energy plants, and for now, the Herambiente plant in Ferrara has been identified as the most suitable. The project will enable, in fact, the capture of approximately 90% of the emissions from one of the plant's two lines, amounting to 64 thousand tons of CO₂ per year (equivalent to the annual emissions of around 37 thousand cars), which represent the entirety of the CO₂ emitted, making the entire energy production from the waste-to-energy process sustainable. The remaining share of the CO₂ emitted by the plant is biogenic in nature and therefore environmentally neutral. The captured CO₂ will be transported via pipeline and stored in the depleted gas fields of the Northern Adriatic. The new CO₂ capture plant will ensure high standards of safety and innovation, while maximizing energy efficiency. It will be entirely green, as it will exploit renewable energy, both generated from the waste-to-energy plant itself and from geothermal heat delivered through the multiutility’s district heating network. The enzymatic capture process, with a low environmental impact, can be powered by low-temperature heat, such as geothermal heat. Further CO₂ emissions will therefore be avoided. Financial solidity was guaranteed by the net debt/Ebitda ratio, which stands at 2.69x, confirming a full financial flexibility. Growth in operating margins was due, in particular, to the excellent performance of networks, which in total contributed almost 270 million euro to the Group's EBITDA, equal to 11%, thanks in particular to energy distribution services and the water cycle, and to the acceleration of growth in the waste area, which rose to 172 million euro (+5.3%). An infrastructure platform and an integrated multi-business strategy that makes the most of industrial synergies among the Group’s subsidiaries confirm our role as enabler of the green transition and the resilience of the activities carried out in the served areas. The achievement of the Net Zero target to 2050 will also be supported by technological innovation, such as, for example, the installation of carbon capture and storage technologies on several of the Group's waste-to-energy plants”.   Revenues at over 5.5 billion euro Revenues amounted to 5,536.8 million euro, as against 8,297.5 million at June 30, 2023 (-33.3%), mainly due to lower energy prices and lower values in trading activities. More generally, the greater stability seen in commodity prices positively influenced the performance of the entire operating and financial management during the period.   Ebitda rises to 732.7 million euro Ebitda for the first half of 2024 rose to 732.7 million euro (+2%*), compared to 718.3 million euro at June 30, 2023. This growth was driven by all core activities in the portfolio, from the integrated water cycle to both regulated and free-market activities in waste management and traditional energy sales and distribution activities, allowing the Group to compensate for the loss of margins related to the super-bonus.   EBIT and pre-tax result increase Ebit at June 30, 2024 grew to 385.1 million euro, up 2.8%* from 374.7 million euro seen in the first half of 2023. This positive performance was linked to lower provisions for bad debts, mainly involving energy customers due to lower commodity prices. This decrease almost completely offset the rise in amortisation related to development investments, in line with the Business Plan. Significant improvement was also seen in financial operations, thanks to the gradual easing of the financial absorption caused by the energy crisis and the ensuing financial rationalisation, which led to savings in expenses related to debt, and income from tax credits for incentivised work in 2023. The positive results of operational and financial management led the pre-tax result to stand at 329.6 million euro (+16%*), as against 284.2 million at June 30, 2023.   Net profit for shareholders increases significantly, reaching 218.4 million euro The net income rose to 237.3 million euro (+14.1%*), compared to 208 million in the first half of 2023, after a tax rate at 28%, as against 26.8% at June 30, 2023, the latter underpinned by non-recurrent tax benefits. A significant increase also occurred in net profit for Group Shareholders, coming to 218.4 million euro (+16.4%*), as against 187.7 million at June 30, 2023. These results confirm the creation of value for all stakeholders, perfectly in line with the expectations of the Plan.   Operating investments rise and Group solidity further strengthened The amount of investments made confirms Hera’s strategic plans and involved significant work on plants, networks and infrastructures. Operating investments in the first half of the year, including capital grants, amounted to 344.4 million euro, up 8.2% from 318.4 million euro at June 30, 2023. The total amount of net financial debt came to 4,063.5 million euro, compared to 3,827.7 million at 31 December 2023 and improving by 2% compared to the first half of 2023. The net debt/Ebitda ratio stood at 2.69x, well below the Group’s historically conservative policy, confirming the Group’s financial solidity. Hera Group Italy’s first multi-utility with a Net Zero target

Today, the Board of Directors of the Hera Group, one of Italy’s largest multi-utility companies operating in the waste management, energy and water sectors, approved the Climate Transition Plan, a document that presents the Group’s strategy and commitment to achieve Net Zero by 2050. This goal will be pursued as regards both direct and indirect greenhouse gas emissions, reducing them by 90% overall within 2050 (compared to 2019) and removing all residual emissions at the end of the path to decarbonisation. Circular economy: partnership with Fincantieri

Fincantieri and the Hera Group have signed a memorandum of understanding to launch a partnership aimed at optimising waste cycle management and creating value in Fincantieri’s shipyards throughout Italy, in accordance with the principles and objectives of the circular economy. The agreement calls for the establishment of a newco – owned by Fincantieri and the Hera Group, through its subsidiaries Herambiente Servizi Industriali (HASI) and ACR di Reggiani Albertino S.p.A. (ACR), part of the Herambiente Group, charged with implementing an integrated and efficient waste management system at Fincantieri’s shipyards, starting with the Monfalcone site, identified as the first area for intervention in the implementation of the project. The new company will also be responsible for the operational administration of the plant, the management of waste disposal and the valorisation of residues and recoverable waste. With this partnership, Fincantieri aims to reduce its waste production, maximise waste recovery by applying advanced technologies for industrial waste treatment and valorisation, create sorted waste collections for the reuse of materials in production cycles and optimise logistics and waste handling to increase safety on construction sites. The agreement also represents an important opportunity to create value, both economically and in terms of sustainability. Hera Shareholders Meeting: 2023 financial statements approved and dividend increased to 14 cents

Hera’s Ordinary and Extraordinary Shareholders Meeting, chaired by Executive Chairman Cristian Fabbri, was held in Bologna to approve the 2023 financial statements and the payment of a dividend increasing to 14 cents per share, in line with what was previously announced during the presentation of the 2027 Business Plan and based on the significant results achieved. The 2023 Sustainability Report was also presented during the Meeting. 2023 financial statements approved with record results The Shareholders Meeting approved the 2023 financial statements, which showed strong growth in the main operating and financial indicators compared to both the previous year and to pre-crisis levels (FY2021). Among the main results: adjusted Ebitda rose to 1,494.7 million euro (+15.4%) and adjusted net profit attributable to shareholders amounted to 375.2 million euro (+16.5%). Gross operating investments reached 815.8 million euro (+15.0%) and were mainly allocated to innovation and resilience of the assets managed, the circular economy and the energy transition, with concrete projects consistent with the foremost national and international policies. Net debt fell to 3,827.7 million euro, as against 4,249.8 million euro at 31 December 2022. The financial structure thus improved significantly, with the net debt to adjusted Ebitda ratio dropping to 2.56x, compared to 3.28x for the previous year, well below the Group’s prudential parameters. Dividend payment confirmed, rising to 14 cents per share The Shareholders Meeting approved the Board of Directors’ proposal to distribute a dividend coming to 14 cents per share, up 1.5 cents over the last dividend paid (+12%). The ex-dividend date was set at 24 June 2024, with payment as of 26 June 2024. The dividend will be paid to the shares recorded on 25 June 2024. Sustainability Report: shared-value Ebitda and investments rise The 2023 Sustainability Report was also presented during the Shareholders Meeting, showing that improvement in operating and financial indicators goes hand in hand with the Group’s focus on sustainability and creating value in the served areas. In 2023, shared-value Ebitda, which refers to business activities that also respond to the targets on the Global Agenda, rose to 776.0 million euro, up 16% compared to the 670.3 million euro seen in 2022 and corresponding to 52% of overall Ebitda. Two new directors appointed The Shareholders Meeting also resolved to reappoint Director Enrico Di Stasi for the remainder of the term of office of the Board of Directors. Di Stasi had in fact been appointed by co-optation by the Board of Directors on 27 September 2023, following the resignation of Director Lorenzo Minganti. Director Di Stasi confirmed that he did not meet the independence requirements of current regulations. The Shareholders Meeting also appointed Director Tommaso Rotella to replace Gabriele Giacobazzi, who passed away on March 3, 2024. Director Rotella has declared that he meets the independence requirements of current regulations and the next Board of Directors will appoint him as Vice Chairman. Hera Group and Panasonic Industry together for the diffusion of NexMeter on the national market

With Panasonic Industry Europe, the operating company of the Japanese multinational world leader in the production of electronic products and components, we renew the long-standing collaboration with the signing of a commercial agreement aimed at expanding the diffusion of the innovative NexMeter meter in the Italian gas distribution market. There are several utilities that have already demonstrated their interest in our device and further future prospects for partnerships with European operators cannot be ruled out. The collaboration with Panasonic dates back to 2019, when we launched our smart gas meter 4.0, equipped with advanced safety and leakage reduction functions, which subsequently evolved over time: since 2021 it has been made with recycled plastic components and has obtained the compatibility "stamp" for green gas mixtures such as hydrogen and biomethane. NexMeter has now been a consolidated reality for several years and has already made it possible to provide an important technical contribution within our activities. Its anti-seismic vocation has now led to over 250 thousand meters already installed mainly in Friuli-Venezia Giulia and Emilia-Romagna, areas classified as high seismic risk, and the additional functions of NexMeter in leak detection have also made it possible to intervene successfully in potentially critical situations, avoiding even serious risks to people and things. Furthermore, we have already activated the first Italian trial of introducing a mixture of methane and hydrogen into the city's gas distribution network two years ago in the province of Modena. Over 1 million new electricity customers as of 1 July

Today, the Hera Group, through its subsidiary Hera Comm, was definitively awarded 7 lots (the maximum number allowed, out of the 26 into which the country is divided) in the national tender called by the Single Purchaser for the Gradual Protection Service for non-vulnerable household customers. This achievement will lead to the acquisition of more than 1 million new electricity customers, spread over 37 provinces of Italy, who will become part of the Group’s portfolio as of 1 July 2024. It also marks a significant step towards the target set out in the Business Plan to 2027. More specifically, Hera will strengthen its presence in several regions: Emilia-Romagna, Veneto, Friuli Venezia Giulia, Marche, Tuscany, Abruzzo, Lazio, Umbria, Liguria, Piedmont, Lombardy and Campania. Hera Group expands in the industrial waste sector with TRS Ecology

The Hera Group has further strengthened its Italian leadership in the waste management sector, particularly in industrial waste treatment, thanks to the binding agreement signed today by its subsidiary, Herambiente Servizi Industriali, concerning the acquisition of 70% of TRS Ecology based in Piacenza, Emilia Romagna region. TRS Ecology has thus transferred to Herambiente its corporate branch responsible for the multifunctional waste treatment platform located in Caorso in Piacenza. With this new facility, when fully operational, Herambiente will process over 64,000 additional tons of industrial waste annually, contributing with approximately 6 million euro to the Hera Group’s consolidated Ebitda, in addition to synergies expected from the integration. The acquisition of TRS Ecology, which employs over 70 workers and serves approximately 2,700 clients, will allow Hera to expand its presence in the Northwestern Italy and create important synergies with its existing industrial hubs in Pisa, Ravenna and Vicenza provinces. The current ownership, represented by the company’s Sole Director Claudio Dodici, will remain within the new corporate structure, retaining a significant operational role. The details of the partnership The TRS facility in Caorso is authorized to treat more than 100,000 tons of waste annually and is organized into four process lines: solid and liquid waste storage; solid and liquid waste reconditioning, sorting, screening and recovery; solid waste volumetric reduction and grinding; solid and liquid waste mixing. In addition to its treatment activities, TRS Ecology can engage in storage, aimed at managing waste from environmental remediation. Creating value: 2027 Ebitda up to 1.650 billion and dividend up to 16 €cents (+28%) The projects planned will bring overall Ebitda to more than 1,650 million euro in 2027, with a 355 million euro improvement compared to the 2022 result. Taking into account a number of business opportunities that will no longer be present during the time covered by the Plan and that contributed with roughly 120 million euro to the 2022 result, the growth will reach 475 million euro with an average annual rate coming to 7%. Sustainable growth to support the ecological transition: shared-value Ebitda at 64% in 2027 and economic contribution to local areas at 10 billion euro The Hera Group has confirmed its focus on the circular economy and decarbonisation, in order to encourage and support the ecological transition of the areas served with initiatives aimed at citizens, public administrations and industrial customers, offering its extensive set of plants and the know-how it has accumulated in various business sectors. The initiatives set out in the Business Plan to 2027 make it possible to project a path that is perfectly consistent with achieving the industrial objectives to 2030 in terms of circular economy and decarbonisation. As regards the circular economy, for example, the route to be followed confirms 2030 targets such as an increase in recycled plastics (+150% compared to 2017) and the reuse of wastewater (reaching 18% of total wastewater by 2030). Balanced growth in the multi-business portfolio and increased resilience The Business Plan expects growth to be equally distributed among the three main lines of business (networks, energy and waste management), maintaining their current balance. Continuity is also expected in the Group’s development model, which has ensured a high degree of resilience in results within all scenarios witnessed over the last twenty years, allowing for uninterrupted growth in both sustainability targets and operating-financial and service performances. Total investments at 4.4 billion euro, with additional projects funded by 400 million in grants coming from the NRRP and other institutions The investment plan amounts to 4.4 billion euro, 48% of which will go to development initiatives and M&As. 55% of investments will be earmarked for regulated businesses, while the remaining 45% will support growth in free-market businesses. The over 870 million euro invested each year on average will accelerate the Group’s commitment to the ecological transition (with roughly 60% of the entire investment plan going to decarbonisation and the circular economy) and to generate sustainable development in the areas served. In this sense, more than 70% of the investment plan will be allocated to initiatives capable of creating shared-value Ebitda. In light of the introduction of the new aspects related to the European Taxonomy, the Group estimates that operational investments coming to 2.5 billion euro (or 98% of eligible investments) will be aligned with the requirements of the European framework, and will therefore be able to gain full access to subsidised sustainable finance instruments, with benefits in terms of financial costs as well. Ascopiave transfers 15% of EstEnergy shareholding to Hera Group

The Hera Group, acting through its subsidiary Hera Comm, and Ascopiave signed a deed of transfer from the latter of a 15% shareholding in EstEnergy, for a counter value of 137.5 million euro. EstEnergy is the commercial joint venture established in 2019 that with over one million customers is North-Eastern Italy’s largest energy operator. As a result of today’s transaction, the Hera Group’s holding in EstEnergy rises to 75%, while Ascopiave’s falls to 25% of the share capital. The right to sell this shareholding remains unchanged, at the previously defined conditions, and the current governance rights are maintained. This transaction will allow the Ascopiave Group to improve the sustainability of its asset structure, consistently with the goals in its strategic plan, contributing to the financial coverage of medium-term investments in core and diversification activities. The first nine months of the year saw rising investments and record results compared to previous years, showing remarkable resilience when faced with extreme weather events in the area served and a global context that remains uncertain and continues to show widespread increases in inflation and in the cost of money. In the first nine months we reached over 1 billion of Ebitda, which shows a double-digit growth of 15%. An increase was seen, instead, in revenues thanks to the higher volumes of electricity sold, commercial development actions, Consip tenders, the safeguarded tenders awarded in electricity, “gradual protection service” lots awarded, higher revenues from “energy efficiency services” linked to incentives in residential buildings and increased activities in value-added services for customers, as well as revenues from the waste treatment business and, above all, to the M&A activity. Ebitda* up sharply to 1,006.8 million Ebitda* for the first nine months of 2023 rose to 1,006.8 million euro (+15.1%), as against 874.8 million euro at 30 September 2022. Of this increase, the contribution coming from the energy areas amounted to 111.8 million euro and the good performance of the waste management area accounted for 11.8 million euro, while 3.5 million euro came from the integrated water cycle and 4.8 million euro from the other services area. Net operating result* rises to 504.6 million euro The net operating result* for the nine months ended 30 September 2023 rose to 504.6 million euro, up 15.5% from 437.0 million euro in the first nine months of 2022, at same growth path signed by Ebitda. Net profit post minorities* up by 10% In September 2023, net profit* rose to 267.1 million euro (+7.5%), up from 248.4 million euro in the same period of 2022, and the tax rate improved to 26.8%. Net profit post minorities* rose to 235.5 million euro, up 10% from 214.1 million euro at 30 September 2022. Strong increase in capital expenditure and M&A In the first nine months of 2023, the Hera Group made net investments including M&A coming to 593.0 million euro (+18.7% compared to the same period in 2022). From 7 to 10 November 2023, “Ecomondo” (the European fair that acts as a reference point on ecological transition, technological and industrial innovation of environmental services and green economy, particularly waste and resources, circular bio-economy, and water) is at the Fiera di Rimini. We are there again this year, in Hall C1 at Stand 500, with a two-storey exhibition space covering 550 square metres: the entire Hera Group is present with Hera S.p.A., Herambiente, Aliplast, Hera Comm, HERAtech and Hera Luce. During the fair, the business offers of the Group's trading companies are also presented. As every year, the stand is decorated with works of art made from recycled materials by SCART, the Hera Group project devoted to the artistic regeneration of industrial waste, in full compliance with the circular economy. Once again this year, SCART presents a new project in collaboration with the Fine Arts Academies of Florence, Ravenna and Rimini and the young people from the San Patrignano rehab centre. These are 30 new works made up of waste from sports activities. Even outside the expo, it is possible to admire a Formula 1 car created with the waste collected by the Group following the floods of May 2023. Significant growth in 1H 2023 results

The first half of the year ended with operating results and investments up compared to the previous year, although in the first months of 2023 some of the served areas were affected by extreme weather phenomena and the uncertain global context continues to generate volatility in commodity prices, a generalised rise in inflation and an increase in the interest rates. The consolidated half-year report at 30 June, indeed, shows positive operating and financial performances, demonstrating once again the Group’s financial solidity and strength of its business model, balanced between internal and external growth and between regulated and free market activities. Cristian Fabbri, Executive Chairman of the Hera Group: “The first half of 2023 closed with substantial growth in results, with Ebitda reaching 718.3 million euro, up 13.8%, mainly due to the overall contribution coming from the energy area, which also saw an increase in services for decarbonisation, while growth in the waste management area confirms our commitment to the circular economy. The results for this half-year see us moving rapidly towards achieving the goals set out in our Business Plan and are the fruit of our consolidated multi-business strategy, which has always been geared towards combining corporate growth with the sustainable development of the local ecosystem. This is additionally confirmed by the 22% rise in investments, both for developing the Group’s industrial assets and for M&As that focus on growth towards the ecological transition, innovation and resilience. Our business model is capable of continuously innovating while maintaining strong local roots, and has allowed us to once again respect the commitments made to our shareholders, to whom a dividend up by 4.2% was paid last month, consistent with what was announced during the presentation of the Business Plan to 2026.” Orazio Iacono, CEO of the Hera Group: “The consolidated half-year financial report at 30 June shows significant growth in Ebitda, with a contribution coming from all business areas, in particular the energy sector with 239 million euro (+30%) and the waste management area with 162.9 million euro (+8%), and increased investments and M&A transactions, amounting to over 400 million euro. All of this was made possible by a significant cash generation and a solid financial position. The financial structure was further reinforced during the first half of the year by sustainable sources of financing on favourable terms, including the issue of a sustainability-linked bond, a new revolving credit line and a recent EIB loan. These initiatives allowed us to maintain our net debt/Ebitda ratio at roughly 3x, in line with the previous half-year and the targets defined.” Revenues at 8.3 billion In the first half of 2023, revenues amounted to 8,297.5 million euro, as against 8,896.0 million euro at 30 June 2022, mainly due to the drop in energy commodity prices and lower volumes of gas sold, as a result of the mild weather in the first half of the year. Revenues related to the higher volumes of electricity sold, instead, were up, thanks to commercial development actions, Consip tenders and the lots awarded in the protected and gradual protection services, as well as higher revenues from energy services, in which opportunities related to energy efficiency incentives in residential buildings and increased activities in value-added services for customers remained. A positive contribution also came from revenues in the waste management sector, due to increased treatment activities and acquisitions in the industry market. Ebitda rises to 718.3 million euro Ebitda for the first half of 2023 rose to 718.3 million euro (+13.8%), compared to 631.2 million euro at 30 June 2022. This increase is mainly due to the overall contribution coming from the energy areas, amounting to 68.1 million euro, and the positive performance of the waste management area, up by 12.2 million euro. Net operating result grows The net operating result at 30 June 2023 rose to 374.7 million euro, up 11.9% compared to the 334.9 million euro seen one year earlier. This performance remained positive even after higher depreciation and amortisation, due to the significant increase in investments, and conservative provisions for bad debts, due to the increased turnover in last resort markets. Financial charges increased, mainly due to the medium- and long-term credit lines stipulated in 2022 and the significant change in the interest rate scenario, which saw a significant increase in the cost of money. Net profit attributable to shareholders up to 187.7 million euro Net profit rose to 208.0 million euro (+3.1%), compared to 201.7 million euro in the first half of 2022, with a tax rate coming to 26.8%. Net profit attributable to Group shareholders* totalled 187.7 million euro, up (+2.4%) from 183.3 million euro at 30 June 2022. Strong growth in operating investments and Group solidity reinforced In the first half of 2023, the Hera Group made investments and corporate acquisitions totalling 403.4 million euro (+22.4% compared to the same period in 2022). Operating investments, including capital grants, amounted to 318.4 million euro, up by 31.3 million euro compared to the previous year (+10.9%), and were mainly related to the development of plants, networks and infrastructures. Italy: EIB provides €460 million to Hera Group to boost the green transition, decarbonisation, the circular economy, and protection of water resources

The European Investment Bank (EIB) has granted a €460 million loan to Hera Group. The main goals of the financing are to strengthen the resilience of integrated water services, increase the production of renewable energy, foster energy efficiency, decarbonisation and the circular economy, and bolster waste processing and collection, all in order to support Hera Group’s areas of operation on their path to a sustainable environmental transition and help combat climate change. This EU bank loan will finance over 60 Hera Group projects aligned with the EU taxonomy and in line with the objectives of the UN 2030 Agenda, helping the communities served by the Italian multi-utility on their path to a green transition closely connected to local society and industry. The EIB financing will therefore cover almost 60% of the total value of these investments (over €800 million) already planned by the company in its 2022-2026 industrial plan. Operations will mainly take place in Emilia-Romagna, but also in other areas served such as Veneto and Friuli-Venezia Giulia. Hera Group acquires the company Tiepolo to build a photovoltaic power station in the Ferrara area

Only two months after the establishment of Horowatt, a NewCo between Hera Group and Orogel that within 2024 will create an innovative and sustainable agrivoltaic plant in the agricultural cooperative’s Cesena facilities, Hera’s programme for developing cutting-edge integrated solutions in the field of clean energy is making rapid progress. Hera Group finalised the acquisition of Tiepolo Srl, owned by Combigas and Greenfield Renewables (each one holding 50% of the shares), which has developed a project for constructing a solar park in Bondeno (Ferrara) capable of meeting the needs of over 5,000 households. The plant, which will have a capacity of 8.9 megawatts and will generate approximately 13 GWh/year when fully operational, is one of the Hera Group’s numerous projects aimed at producing renewable energy and already included in the Business Plan to 2026, to support citizens, businesses and public administrations in the decarbonisation and electrification of their consumption. Strengthening renewables with Fratelli Franchini partnership

Acting through our subsidiary Hera Comm, we finalised the acquisition of 60% of Fratelli Franchini. Based in Rimini, this company has a consolidated experience in the area of designing, installing and providing maintenance of all types of technological systems for companies, public administrations and hospitality facilities. It has been active for over 17 years in producing high-yield renewable energy sources for public and private industrial customers throughout Italy. The remaining 40% of the company stays in the hands of Franchini Group Srl, owned by brothers Pierpaolo and Marco Franchini, who retain the position of CEOs. Shareholders Meeting: new Board of Directors appointed, 2022 financial statements approved and dividend increased to 12.5 cents

Hera’s Ordinary Shareholders Meeting, chaired by Tomaso Tommasi di Vignano, was held this morning in Bologna to approve the 2022 financial statements and the payment of a dividend rising to 12.5 cents per share, in line with what was previously announced during the presentation of the Business Plan to 2026. 2022 financial statements approved with results showing growth The Assembly approved the 2022 financial statements, which confirmed growth in key operating and financial indicators and in investments. These figures demonstrate, once again, the validity of the management policies implemented by the Group, which, together with its solid and resilient multi-business industrial model, have proved effective in responding to the complex external scenario, enabling it to guarantee continuity and quality of services and to create value for the company and all stakeholders, while pursuing sustainable development. Dividends paid rise to 12.5 cents per share The Shareholders Meeting then approved the Board of Directors’ proposal to distribute a dividend coming to 12.5 cents per share, up 4.2% compared to the last dividend paid. Over 1 billion Euro for green transition, decarbonisation and plastic regeneration through sustainability-linked bond issue and facility agreement

With the second “sustainability-linked bond” and the activation of a new “Sustainability-Linked Revolving Credit Facility”, we will allocate more than 1 billion Euro in financing to projects in favour of the green transition. In particular, the Euro 600 million of the new non-convertible bond is part of the sustainability strategy aimed at decarbonising and recycling plastics, while the new Euro 450 million “Sustainability-Linked Revolving Credit Facility” further expands the innovative financial products and instruments adopted, contributing to maintain its financial soundness. The characteristics of the second “sustainability-linked bond” The aggregate amount of the second “sustainability-linked bond”, reserved to qualified investors, to be issued under the company’s Euro Medium-Term Notes Programme, is equal to Euro 600 million, repayable after 10 years. Also this second “sustainability-linked bond”, like the one launched in 2021, met a great interest from international investors. In fact, the transaction saw significant participation from international investors (France, Germany, the Netherlands and the United Kingdom), most of them specialised in sustainable finance products. The strong demand, with subscription requests of approximately 2.7 billion euro, equal to 4.5 times the offer, and the quality of the orders received have therefore allowed the price to be set at excellent levels. The bond provides for an annual fixed-rate coupon of 4.250%, while the yield at the time of issue is 4.310%. Starting from the interest payment date of 2032, a possible step-up (interest rate increase) is foreseen in case the company does not reach the targets of (1) reduction of Green House Gas emissions expressed in CO₂ tonnes (rate increase of 0.30%) and (2) increase in the amount of recycled plastic, expressed in thousands of tonnes (rate increase of 0.20%). The sustainability-linked bond is part of our strategy aimed at reducing greenhouse gas emissions and increasing the amount of recycled plastic. Hera Group approves results at 31 December 2022

Today, the Board of Directors of the Hera Group, chaired by Tomaso Tommasi di Vignano, unanimously approved the consolidated operating results at 31 December 2022 and the Report on remuneration policies and compensation paid, as well as the Sustainability report. Uninterrupted growth in business and value created for stakeholders Thanks to its consolidated multi-business model, balanced between regulated and free-market activities, and its good operational, financial and fiscal management, the Hera Group closed 2022 with operating results and investments up on the previous year. It therefore dealt positively with a particularly complicated external scenario, marked by ongoing volatility on the energy market and a highly unstable international geopolitical situation. Hera Group and Ascopiave finalise 92% acquisition of Asco TLC

The Hera Group, through its subsidiary Acantho, and the Ascopiave Group finalised the acquisition of 92% of the shares of Asco TLC, with stakes of 36.8% and 55.2% respectively. The closing follows the award, at the end of November 2022, of the public tender procedure called by Asco Holding for the sale of 92% of the shares of Asco TLC, held by Asco Holding itself and by the Treviso-Belluno Chamber of Commerce, and the subsequent signing on 29 December 2022 of the related contract documentation between the Hera Group and the Ascopiave Group. The cash-settled acquisition price is EUR 37.2 million. For the two groups, the transaction represents a strategic step in the evolution of the business portfolio in the IT-TLC sectors, in line with their respective industrial plans. Moreover, it is the first step of a broader operation that would lead, through the merger of Asco TLC into Acantho, to the birth of a multi-regional operator with significant operational synergies compared to the stand-alone companies, and benefits for customers as well. Top Utility 2023: we rank first for training

We have always focused on developing our personnel and considered training as a key element. This commitment has now earned us first place in the “Training” category of the eleventh edition of the Top Utility award, which each year analyses and valorises the evolution and performance of the 100 largest utilities operating in Italy in the electricity, gas, water and waste management sectors. We received the prize “for the completeness of its training programmes in terms of topics covered and duration, as well as for the attention given to employees’ needs for in-depth training, based on their different characteristics and tasks”. Training and developing skills, to rise to future challenges We continue to show our extensive and concrete commitment to corporate training and people development policies, which are one of the Group’s cornerstones. In 2022 alone, 97% of Hera’s workforce, including the most operational part, was involved in courses totalling over 270 thousand hours, equivalent to roughly 30 hours of training per capita, well above the sector average. Hera Group presents Business Plan to 2026

Over 20 years at the side of the areas served, with preliminary Ebitda for 2022 rising to almost 1.3 billion As confirmation of the achievements made over the twenty years since its establishment, the Hera Group expects to close the 2022 financial year with growth in results exceeding expectations: preliminary Ebitda stands at approximately 1,285 million euro, roughly 60 million euro higher than 2021 Ebitda, while the Net debt/Ebitda ratio is expected to come to approximately 3.3x, improving compared to previous quarters, which is all the more appreciable considering the extraordinary market situation, the increase in the cost of energy commodities and the higher investments sustained in 2022, totalling roughly 780 million. An effective strategy to respond to the challenging context In a challenging external context – marked by high uncertainty caused by geopolitical instability, market volatility, rising inflation, higher energy prices and supply chain problems – the Group has turned challenges into opportunities and drawn up a Plan that follows up on the path previously undertaken. Its concrete projects are consistent with the main national and international policies on the energy transition, circular economy and innovation. Within this framework, cities will play a key role in mitigating climate change: Bologna and Padua are among the 100 selected by the EU Commission to become “smart zero-impact cities” by 2030, and the Hera Group has already launched investments and key projects to support municipalities in achieving carbon neutrality. Investments amounting to over 4.1 billion euro, supported by NRRP contributions The Plan to 2026 foresees total investments coming to over 4.1 billion euro, with an average of roughly 825 million euro per year, an increase over the previous Plan. Of these investments, 60% will go to regulated businesses and the remaining 40% to free market businesses. These figures include concrete initiatives in the areas served, to which more than 130 million euros in NRRP funding have already been allocated. Hera awarded 2023 Sustainability Gold Class by S&P Global

With the publication of the 2023 Sustainability Yearbook – the report containing the analyses carried out to gain access the Dow Jones Sustainability Index (DJSI) – we have been awarded S&P Global’s Gold Class for the third consecutive year. This is the highest recognition for companies listed in the Dow Jones Sustainability Index, in which we confirmed our position as sector leader for the 3rd year in a row. In the most recent edition of the authoritative DJSI international stock market index, which evaluates listed companies on the basis of ESG factors, Hera ranked first internationally in its sector (Multi-utility & Water), with a score of 90/100 compared to a sector average of 34/100, calculated based on the three areas analysed: Environment, Social and Governance. We are in the 2023 Bloomberg Gender-Equality Index

Always concerned with implementing policies concerning gender equality and enhancing diversity in the workplace, in 2023 as well we have been counted among the most inclusive companies worldwide. Today, we were confirmed – for the fourth consecutive year – as part of the Bloomberg Gender-Equality Index, which analyses the performance of companies engaged in supporting gender equality by developing dedicated active policies and transparency in communicating information. In the 2023 edition, which includes 484 listed companies, based in over 45 countries, selected out of more than 11,700 businesses, we confirmed our results in all areas under analysis with an overall score of 80.1%, above the Italian average (78.27%). The Group stood out in particular for equal pay, an inclusive culture and harassment prevention. This important result confirms our desire to keep valorising the uniqueness of people in a working context highly exposed to change, constantly committing ourselves to promoting and creating fair and inclusive workplaces, thanks to the development of dedicated policies and projects.
