The Board of statutory auditors supervises the Group's correct administration, assessing the adequacy of the organisation, administration and accounting structure adopted by directors. Its composition is governed by art. 26 of the By-laws.
Hera's Board of statutory auditors is composed of 5 members (3 standing and 2 alternates) who meet the requirements of integrity and professionalism established by legislation.

Diversity Criteria and Policies
The appointment of the Board of Statutory Auditors took place during the Shareholders Meeting of 27 April 2023, following the presentation of three lists, one majority and two minority, which also guaranteed a composition of the body in accordance with the regulatory provisions on gender balance (three members belonging to the less represented gender out of a total of five members). The members of the Board of Statutory Auditors have an average age of about 54 years: one member is between 40 and 50 years old and two members are between 50 and 60 years old. The Board of Statutory Auditors, as part of its self-assessment activities, has expressed itself positively with reference, in particular, to its effective functioning, its composition and the characteristics of its members relating to the requirements of independence, good repute, professionalism, competence and experience established by current legislation and company bylaws, also depending on the matters and sectors of activity related to or inherent to the activities of the Companies, thereby ensuring the independence and professionalism of its function in accordance with principle VIII of the Code.
Remuneration
The remuneration paid to the members of the Board of Statutory Auditors is consistent with the skills, professionalism and commitment required by the importance of their role and the size and sector characteristics of Hera.
