Business Plan to 2020

Today, Wednesday 11 January 2017, the Hera Group Board of Directors approved the 2020 Business Plan, with growth in economic targets and improvement in capital and financial indicators.

Operating and financial highlights

  • 2020 EBITDA: € 1,080 million
  • Capital expenditures and financial investments: almost € 2.5 billion
  • Net financial position/EBITDA ratio to improve, reaching 2.8 by 2020
  • Net profits per share to grow by roughly 5% annually over the duration of the Plan
  • Dividends expected to increase, as of 2017, reaching 10 cents per share in 2020 (+11%)

Solidly based on data from the 2016 forecast, the new Plan confirms the Group’s track record of growth and responds to the most recent changes in the utility sector. Efficiency and innovative solutions fuelling organic growth to be pursued alongside opportunities for development through M&As.
In addition, the 2020 Plan is supported by considerable investments, reaching roughly Euro 2.5 billion (Euro 250 million more than the last strategic plan), which will be used to fuel growth over the five-year period, as well as to better respond to the main business trends emerging as a result of the Circular Economy and Shared Value, with respect to which the Hera Group has offered a tangible contribution to reaching 10 of the 17 objectives of the UN Agenda. Other key elements include the new needs of clientele, to be met with new solutions, and the most recent changes involving Industry 4.0 and processes of digitalisation, data gathering and analysis and diffusion in our cities of “intelligent” infrastructures. In a sector undergoing profound transformations, it will become indispensable for the Group to count on its own solidity and efficiency in order to remain astride these trends and continue to reinforce its own leadership.

The Group’s business model has been confirmed, with the objective of a 2020 EBITDA equal to € 1,080 million, i.e. € 50 million higher than the 2019 target included in the previous Plan, with significant growth coming in 2017-2018. The increase in EBITDA over the duration of the Plan amounts to almost € 200 million compared to 2015, obtained thanks to a balanced contribution coming from internal and external growth.

Aeroporti di Roma increasingly “circular” with the Hera Group

A protocol to jointly assess joint initiatives in favour of sustainability and a circular approach to the management of Fiumicino and Ciampino airports: this is the focus of the protocol signed by us and Aeroporti di Roma - the company that runs both of the capital’s hubs. The areas of intervention of the agreement, valid for two years, concern the management of waste, the treatment of waste water in the airport purification plant and the optimisation of water network management. Actions to make the first airport hub in Italy, the seventh in Europe, increasingly sustainable. The hub’s commitment has already been recognised by ACI Europe, which awarded Fiumicino excellence as the best airport in Europe for three consecutive years from 2018 to 2020. In terms of circular economy, “Leonardo da Vinci” airport boasts a separate waste collection that has amounted to 99% and, in the last 10 years, the consumption of drinking water for each passenger assisted has been reduced by approximately 30%, thanks to a dual distribution network system that ensures the reuse of “recycled” water for all uses for which drinking water is not necessary: irrigation, fire prevention, etc. We will make our experience and commitment available in terms of the circular economy and the recovery of resources that have distinguished it since its inception. Concrete projects to reduce waste, the production of waste and increase its recovery As regards waste, the main objective is to define guidelines to improve the recovery and reuse of waste produced at the airport, identifying the best solutions to manage the main types of waste, minimising environmental impacts and optimising economic management. This will be achieved by studying any new operational and management processes to further develop separate collection, also involving staff, suppliers and passengers, recover the waste produced (especially used oils, plastic and organic products), reduce the production of waste that cannot be recovered, adopt systems for the recovery of food surpluses produced by airport catering, thus reducing waste and giving new value to uneaten food. Reduction of sludge produced in the purification process and water losses The water system of the airports is also the subject of the agreement, in order to assess the possible optimisations to be made to the purifier in a circular economy perspective, facilitating processes that enable the reduction of sludge produced by the waste water purification process (such as, for example, through the installation of dryers to reduce weight and volume) and assessing the possibility of recovering material. Systems are also being studied to optimise the management of water networks, to prevent and limit losses with a view to increasingly virtuous water management, including with the use of advanced sensors and artificial intelligence systems. Resignation of the CEO of Hera S.p.A.

The Board of Directors of Hera S.p.A., after meeting today, acknowledged the resignation of Stefano Venier as Chief Executive Officer. His resignation will become effective on 26 April 2022, and on the same date all his other positions related to the board will cease. For his replacement, the appropriate bodies have already begun to act, according to the procedures provided for by the Articles of Association. The Board of Directors would like to thank Stefano Venier, who has worked for Hera S.p.A. since 2004, for the important work he has done over the years, working alongside the top management and the entire organisation, and wishes him the utmost success in his new professional career. Statement by the Executive Chairman Tomaso Tommasi di Vignano on the new appointment of Mr. Stefano Venier

First of all, I would like to congratulate the Chief Executive Officer Stefano Venier on his new appointment, which represents the right recognition of the great work he has done within the Hera Group. It would be really complicated, in short, to retrace all the steps of a human and professional path which, since 2004, has led Mr. Venier to be a key player, alongside myself, in the numerous projects that have shaped the Hera Group into what it is today. t was a real pleasure to be able to work closely with him and to immediately benefit from his inquisitive nature and managerial skills, which were undoubtedly also contributing factors to the winning formula behind the company's growth and sustainable development. In the next few days, I will put the competent bodies into action in accordance with the procedures laid down by our Articles of Association. Hera Group approves results at 31/12/2021

The Hera Group closed the year 2021 with positive results, despite the complex scenario seen in Italy due to the ongoing Coronavirus emergency and, in the second half of the year, high volatility in the energy market. Thanks to its solid and efficient multi-business model and its good operational, financial and fiscal management, Hera managed to keep its results growing while pursuing sustainable development. It also succeeded in supporting its stakeholders, first and foremost its customers, with concrete actions such as bill instalment plans to enable them to meet their payments. More generally, the Hera Group prolonged the path of uninterrupted growth that has characterised it since it was founded in 2002, continuing to leverage its own strategy: a balanced mix of internal and external growth, with significant economies of scale and an extraction of synergies that exceed expectations. All this was accompanied by a wide range of initiatives for the energy transition, the circular economy and technological evolution, consistent with the path set out in the Business Plan to 2025, which aims to stand beside local areas in recovery, while respecting European strategies and the goals of the UN’s 2030 Agenda. “In 2021 our commitment to pursuing the creation of value for the company and our stakeholders, with sustainable development, once again enabled us to achieve positive results and implement actions to support the environment in which we operate, starting with our customers. We will continue to do so in spite of the current scenario, which remains complex, and we look to the future by focusing on two factors that have always distinguished our twenty-year history: concreteness and solidity. Our decision to increase the dividend to 12 cents per share, in line with what we announced when we presented our new Business Plan, is a step in this direction and will benefit our shareholders, who will be able to count on higher income to face the current difficult situation. Risk prevention and management, moreover, is one of the strategic guidelines underpinning our Plan; it translates into the medium- to long-term approach required to anticipate actions and thus offset the risks to which utilities are exposed, deal with complexities and continue to guarantee service quality and continuity”. Executive President, Tomaso Tommasi di Vignano, went on to say at the end of the Board of Directors meeting of 23 March. Chief Executive Officer, Stefano Venier, added: “The positive results achieved in 2021 show a further reinforcement of the company’s financial solidity, confirmed among other things by the net debt/Ebitda ratio, now at 2.66x, an improvement compared to the previous year. The positive cash flow allowed us to make greater investments, with positive repercussions for the areas in which we operate, in terms of both service quality and the induced economic activity created. Our greater solidity allows us to face the current complex scenario with confidence, continuing to guarantee investments and support for our stakeholders, with sustainability fully integrated into our business strategies. This is confirmed by the increase of over 25% in shared value Ebitda, which rose to 570.6 million in 2021 and accounted for 46.6% of total Ebitda, with the aim of reaching 70% in 2030”.
