A Plan once again envisaging growth, aimed at a 2019 EBITDA of over € 1 billion. Development to be based on a balanced mixture of internal growth and M&A, including the benefits expected from gas tenders, in line with the Group's track record.

Higher operating and financial objectives, in spite of an ever more challenging scenario

This morning the Hera Group's Board of Directors approved its Business Plan to 2019.
A Plan oriented towards growth, thanks to the solid positioning of the Group - whose activities are concentrated in areas it has uninterruptedly covered since it was established - aimed at creating value within its current operating area and making the most of future prospectives for sector consolidation. The strategies that have guided the Group until present have been reconfirmed, with a focus above all on expansion and efficiency, as a response to today's challenging scenario, without neglecting the cornerstones of innovation and excellence.

From an operating and financial point of view, for 2019 the Plan foresees a total revenue of over € 5.8 billion compared to € 4.7 billion in 2014, an EBITDA of € 1,030 million against the € 868 million recorded in 2014. The ratio of net debt to EBITDA, which is already among the best in the industry, is expected to decrease to 2.9x (vs. 3.04x in 2014), confirming the Group's sustainable growth in terms of financial strength, with an increase in cash flow.
Moreover, the Business Plan to 2019 confirms that one of the strategic elements at the root of Hera's business model is sustainability, in all its aspects: environmental, social and economic. The strictly economic objectives are flanked by targets such as reduced environmental impact, greater attention towards energy efficiency and a continual improvement of customer service, fully aware of the important role played by the company across its operating area.

A context marked by regulatory, economic and competitive complexities

The Plan to 2019 has been elaborated with an eye to a more complex scenario than the one envisaged in the previous strategic document. The most notable new factor that creates challenges for utilities consists in the new regulations concerning return on invested capital in regulated services, which will have a significant impact on operators' revenues. Furthermore, on a macro-economic level, Italy's economic upturn still appears to be weak, while the level of competition is rising in all businesses, including regulated ones; indeed, during the period covered by the Plan, both gas distribution and urban hygiene services will be put to tender. Lastly, regulatory changes are also expected, having been repeatedly called for by national institutions, and alongside competition in tenders they will lead to a progressive consolidation among the operators active in Local Public Services, in such a way as to increase the overall efficiency of these sectors.

Over 1 billion of EBITDA in 2019: focus on efficiency improvement, synergies and external growth

The Business Plan includes two tools that will be used to reach the objective of € 1,030 million of EBITDA in 2019, with an increase of € 162 million compared to 2014: internal growth and M&A. These tools are both part of the Group's history, having contributed constantly over the years to developing a growth model that has been confirmed in the Plan and thus represents an important factor of continuity in the strategy pursued until present.
As regards organic growth in particular, on the one hand initiatives will be taken to increase efficiency and curb internal and external costs for € 72 million, taking advantage among other things of partnerships with the Group's suppliers. On the other, plans have been made to extract a further € 21 million in synergies from integration operations that have already been concluded (AcegasAps, Isontina Reti Gas, Est Reti Elettriche and Amga Udine), to be added to the € 15 million already reached in 2014. This will allow further improvement in the high level of Ebitda per employee, which is expected to go up over the next five years by approximately 6% compared to 2014.
Thanks to these results, Hera will be able to withstand and more than compensate for the impact expected over the period covered by the Plan of regulatory changes, among which lesser incentives for roughly € 30 million, and the negative effect - estimated at roughly € 25 million - of the new return on capital in regulated services (WACC) recently revised by the Authority.
As regards growth by M&As, four mid-sized consolidations are expected to be completed within the period covered by the Plan, with an overall contribution of over € 110 million to EBITDA growth in 2019. This objective is in line with the average results achieved in the M&A operations successfully completed since the Group's establishment.
External growth will be further enhanced, by an estimated € 14 million, by the confirmation of the Group as manager of gas distribution services in its own reference areas, thus being able to benefit from the application of its own efficiency and service quality standards to new networks.

Capital expenditures for over € 2 billion

In the 2015-2019 period, total capital expenditures will amount to approximately € 2,200 million, predominantly (72%) allocated to networks, which also includes over € 300 million to be used for gas tenders. An even distribution of investments over the geographical areas served will once again be guaranteed, according to their size and their specific requirements as to modernisation and optimisation.
Excluding gas tenders, over the period covered by the Plan the Group expects to reach an overall balance between capital expenditures and depreciations, in order to maintain the operating and financial sustainability that has already been reached in recent years.

Networks: the challenges presented by gas tenders and the pursuit of efficiency

Approximately 40% of the growth foreseen through 2019 will be due to the results achieved in the network sector, which includes integrated water services and gas and electricity distribution services, and whose EBITDA at 2019 is expected to rise to € 483 million, compared to € 416 million in 2014. Over the period covered by the Plan, overall investments in infrastructures are foreseen for € 1,610 million, including the effects of gas distribution tenders. The objective of confirming service management in all areas currently covered will be pursued by relying on the Group's highly compact presence in the areas served, its deep knowledge and the experience it has gained over the years, the high levels of efficiency already reached and its notable investment capability. Confirmation of current concessions will be expressed as a variation in the Group's operating area that can be estimated at 260,000 extra re-delivery points to be served.
Thanks to gas tenders, it is estimated that the value of the distribution networks managed by Hera (RAB) will go from roughly 3 billion in 2014 to 3.5 billion in 2019.
In order to reach the EBITDA objectives, attention to efficiency is once again considered to be essential, in particular in the supply network, where scale economies can be further pursued, synergies extracted thanks to geographical proximity, and innovated technologies implemented (e.g. electronic gas metres, remote management of the water network, smart grid in electricity distribution), allowing the Group to compensate for the negative impact of the recent reformulation of tariff systems.

Environment: growth increasingly oriented towards recovering materials and energy

The Hera Group is a national leader in the environment sector and expects this position to be further reinforced over the period covered by the Plan, thanks among other things to better market conditions, as recorded over 2015, which saw a trend towards recovery in prices and demand. Sector EBITDA is expected to grow from 242 million in 2014 to 302 in 2019, while overall investments in the period in question will amount to roughly 460 million and will be dedicated to sustaining the development of existing plants, in order to face the rise expected in market volumes, with treatments ever more oriented towards recycling and greater environmental sustainability. This framework also includes the objectives of bringing sorted waste to 65% in 2019 (from 54% in 2014) and decreasing to below 10% the use of landfills for solid urban waste, in line with EU legislation on landfill diversion, and in any case well under the national average.

The plants will be progressively rationalised, maximising their yield and above all aligning the range of plant types with the evolution of sorted waste and objectives concerning the recovery of materials and energy in the areas served. Furthermore, authorisation has recently been obtained for the construction and management of the Sesto Fiorentino waste to energy plant.
A great degree of attention will be dedicated, lastly, to developing commercial activities, with the objective of increasing the volumes of waste treated through a stronger presence in the market of industrial clients. The Group will be able to pursue this strategy thanks among other things to the recent acquisitions of Geo Nova and Waste Recycling, that offer solid coverage in the Tuscany and the Triveneto region markets.
In terms of waste collection, the Group aims to reconfirm its services in those areas of Emilia Romagna in which tenders are expected to be held during the years covered by the plan. This will be possible thanks to the substantial efficiency and automation projects that the Group has already set into place and that will contribute to combining cost-effectiveness for citizens with a progressive increase in sorted waste and a higher quality of the services provided.

Energy: customer base development and efficiency, to overcome the challenges of competition

In a context that foresees a slight recovery in demand for both gas and electricity, this sector's EBITDA at 2019 will settle at 214 million, up 188 million compared to 2014, while total capital expenditures for the period will amount to roughly 80 million. Protection of the current customer base, growth into new geographical areas and cost-curbing remain the essential elements of the strategy adopted in this segment. Greater efficiency in customer management, which will allow costs per unit to be reduced, is also fundamental in increasing competitiveness. The Group will also dedicate its attention to the expectations of a smarter customer base, more attentive to the issues involved in energy efficiency, introducing innovative commercial offers that are able to meet the new demands of the retail market.
Today, the Group is a primary operator in gas and electricity sales in Italy, with over two million customers, and aims at reaching over 2.3 million contracts in 2019.

In particular, the statements for the first nine months of 2017 show the beneficial results of the entry of the companies Aliplast and Gran Sasso within the Group's scope of operations, and of the tenders awarded for 2017-2018 last resort, default and safeguarded supply services. Revenues rise, reaching € 4,027.8 million In the third quarter of 2017, revenues came to € 4,027.8 million, up 11.4% compared to the € 3,615.5 million recorded at 30 September 2016. In line with the positive macro-economic framework, this year profited from the entry of Aliplast and Gran Sasso within the Group, as well as from the positive effects ensuing from a higher trading activities, an increase in electricity price, a rise in volumes of gas sold and higher regulated revenues in the water sector. EBITDA increases to € 724.7 million The Group's consolidated EBITDA at 30 September 2017 grew from € 650.6 to € 724.7 million (+11.4%). The good performance coming from all Group areas is responsible for this result, in particular from the Energy business, which benefitted from higher profits in power generation and in safeguarded and default market sales. Positive results were also reached in the integrated water cycle and waste areas, thanks above all to the acquisition of Aliplast. Ebit and pre-tax profits up, financial management improves EBIT grew to € 357.9 million, against the € 329.2 million seen at 30 September 2016 (+8.7%), while pre-tax profits rose to € 283.4 million compared to € 239.1 million at the same date one year earlier (+18.5%), thanks to improvements in financial management. In particular, this good performance reflects a more efficient financial structure, partially obtained through the liability management operations carried out during the previous year. Net profit post minorities increases to € 182.9 million (+28.6%) Profits pertaining to Group Shareholders rose to € 182.9 million, against € 142.2 million at 30 September 2016 (+28.6%), thanks among other things to a 32% tax rate, notably better than the same figure for the previous year (due to a lower Ires rate and a continuous search for tax efficiency following the enlargement of the Group's scope of operations). Approximately € 280 million in investments, net debt essentially stable The Group's operating investments at 30 September 2017, including capital grants, amount to € 277.1 million, up compared to the same period in 2016 and in line with the business plan's forecast. Operating investments involved above all interventions on plants, networks and infrastructures, in addition to regulatory adaptations mainly concerning gas distribution, with a large-scale meter substitution, and the purification and sewerage area. Net debt came to € 2,610.0 million at 30 September 2017, with a slight reduction compared to first half of 2017 and remaining fundamentally stable with respect to the € 2,558.9 million recorded at 31 December 2016, considering the funds allocated to dividend payments and M&A operations. Gas EBITDA for Gas, which includes services in natural gas and LPG distribution and sales, district heating and heat management, came to € 201.4 million at 30 September 2017, up 8.0% over the same date one year earlier, thanks to growth in trading, higher volumes of gas sold and the larger scope of operations in the default service. The number of gas customers in the first nine months of 2017 totalled 1.4 million, rising by 3.9% over the same period in 2016, partially due to the acquisition of the company Gran Sasso (located in Abruzzo region). The Gas business accounted for 27.8% of Group EBITDA. Water cycle The integrated water cycle, which includes aqueduct, purification and sewerage services, recorded a 2.6% increase in EBITDA, going from the € 173.7 seen at 30 September 2016 to € 178.3 at the same date in 2017, thanks to higher revenues from distribution, in spite of increased operating costs and lower revenues from new connections. The integrated water cycle accounted for 24.6% of Group EBITDA. Waste The results reached in the Waste, which includes services in waste collection, treatment, recovery and disposal, show rising figures, with EBITDA going from € 172.2 million at 30 September 2016 to € 181.4 million at the same date in 2017 (+5.3%). This performance is due to higher volumes commercialised in waste treatment, a positive trend in the price of special waste and the entry within the Group of Aliplast, a national leader in plastic recycling, which consolidated the Group's position regarding the development of a circular economy. These results are all the more appreciable considering that they suffer from a lower contribution coming from incentives for renewable and assimilated sources, by roughly € 8 million. Further growth was also seen in sorted waste, which went from 55.8% at 30 September 2016 to 56.6% at the same date in 2017, thanks to the numerous new services offered. Waste accounted for 25.0% of Group EBITDA. Electricity Electricity, which includes services in electricity production, distribution and sales, recorded an EBITDA that grew from € 104.3 million at 30 September 2016 to € 147.4 million in September 2017, thanks to higher earnings in free market and safeguarded sales and higher profits in electricity generation. The number of electricity customers increased by 11.6% to 964,000, mainly owing to growth in the free market. Electricity accounted for 20.3% of Group EBITDA. Appointment by co-optation of a new director Furthermore, on today's date the Board of Directors resolved the appointment by co-optation of Prof. Alessandro Melcarne as a new director of Hera Spa, substituting the resigning Mr. Aldo Luciano. On the basis of statements provided by the director and information at the Company's disposal, the former meets the requirements of independence provided for by law. COGEN: clean district heating in Bologna

It has the capacity to provide electricity and hot water to 8,000 houses, and is ready for new connections. The investment of over 17 million euro to upgrade the plant achieves a reduction in CO2 emissions, and also improves reliability and energy availability A modern power station that respects the area The latest Cogen district heating power station is situated on the site of a plant that has been operating since the 1990s. The foundations for an overall upgrading project focused on enhancing energy efficiency and environmental sustainability were laid between 2012 and 2015. Part of the old plant was demolished in May 2015, and the power station started feeding the district heating network in less than 18 months. In this plant, which has now been totally upgraded even from an architectural perspective, Hera produces energy with the cogeneration method, which entails combined production of hot water required for the district heating network and electricity. The entire project was conceived by Hera and envisaged an investment of more than 17 million euro. The benefits of a Cogen power station District heating is in itself a "sustainable" supply that respects the environment by ensuring a better performance than conventional domestic boilers. Moreover, the new plant situated in Borgo Panigale guarantees lesser emissions into the environment, more reliability and greater availability of energy. The plant that replaces the thermal power station in via Segantini, which has now been closed, allows to heat the equivalent of 8,000 households. The turbine can currently produce up to 35,000 MWh of energy a year, almost two-fold the amount produced in the past. By recovering heat contained in the exhaust fumes, the two gas turbines have the capacity to produce 7.44 MWt each. Moreover, another four traditional boilers guarantee additional 11 MWt to integrate the energy reserves. The new power station has drastically reduced emissions. Compared to the old plant, it is equivalent to planting 25,000 new trees every year or to avoiding the annual circulation of about 8,000 vehicles (annual reduction of 21 t of nitrogen oxide and 2,500 t of CO2).The plant has been studied even in terms of size to allow new network connections. Hence, during the forthcoming months Hera's appointed sales representatives will promote the creation of new network connections by offering potential clients the opportunity to participate in this great "green" project for the city. New clients will also have the additional benefits of district heating, which avoids the cost of purchasing and replacing the boiler, along with the related ordinary and extraordinary maintenance costs, besides a 24H emergency service that will be provided free of charge to all connected clients. Environmental sustainability and urban renewal Focus on the area to make the most of it also includes carefully studying the plant's decidedly innovative architectural features. Indeed, it has been developed harmoniously with the aesthetic layout of the urban renewal process carried out in the adjacent Area of the former Sabiem Foundry. Particularly, the power station's profile merges into the area, recalling the Gothic shapes of the city centre. The power station is floodlit with warm LED lights, and is lined with brick red ceramic panels and with perforated metal sheeting with a weathering steel coating. Even in terms of colours, the project has been studied to blend the most recurrent shades in the architectural framework of the city of Bologna, namely brick red, yellow ochre and brown. HERA Group's commitment for energy efficiency Over the past 10 years, the HERA Group has launched 447 projects to reduce energy consumption, saving 740,000 toe (tonnes of oil equivalent), which correspond to the annual consumption of 520,000 families, and avoiding the emission of 1.7 million tons of CO2. These numbers were published in the last sustainability report "Setting a High Value on Energy" of the multi-utility firm, during the past weeks. They also confirm that the overall goal of reducing corporate energy consumption by 3.7% within 2017 has been achieved, further inducing the company to establish a new target of -5% for 2020. These results are the outcome of integrated efficiency-boosting programmes that especially concern the Group's proprietary plants and offices, achieving, in 2016 alone, 4.7% energy saving from the waste cycle, 3.3% from drinking water, 2.3% from district heating, and 1.3% from the use of corporate vehicles. Hera foremost Italian company in Thomson Reuters' "Diversity and Inclusion Index"

List of shareholders with a stake of over 3% The Hera Group is the best company in Italy and the 14th in the world for investments aimed at promoting diversity and inclusion. This result was announced in the 2017 edition of Thomson Reuters' "Diversity and Inclusion Index", which examined a sample of over 6,000 publicly listed companies globally. The Italian multi-utility, with a score of 77.25, ranked second in the world in the utilities sector, improving its performance by almost six percent over 2016 (71.5) and thus rising by 46 positions in the global ranking. The "Diversity and Inclusion Index" is an ethical classification conceived and conducted by the international giant of financial information Thomson Reuters. It analyses companies' performances on the basis of a wide range of factors, falling into four categories: diversity, inclusion, people development and news controversy. The Hera Group's commitment to policies promoting inclusion and diversity has a long history. It was first consolidated in 2009, when the Charter for equal opportunity and equality on the workplace was signed: with this document the company engaged, alongside other private and public bodies, to the struggle against discrimination on the workplace. The introduction in 2011 of the Diversity Manager, whose task involves giving even greater emphasis to developing policies aimed at inclusion and the valorisation of diversity, was also fundamental. Mention must also go to the proportion of female personnel, which rose and is above the national average in the energy, water and environment sector (24.2%, compared to 15.9%), and to the presence of women in roles of responsibility that in Hera, in 2016, reached 31%. Many initiatives, lastly, make plurality management concrete, including agreements with daycare centres, summer camps and a range of programmes aimed at reconciling time for work and living. These are flanked by arrangements made for leave time not only for moms and dads but also for those who must provide assistance to relatives or elderly people. "Digi e Lode", the digitisation project that gives away 100,000 euros to schools

From now on, by choosing to use one or more of these tools, made available to its customers free of charge by Hera, families and citizens will be able to accumulate points convertible into financial contributions to schools in order to fund digitisation projects. This, in essence, is the work of "Digi e Lode", the new Hera Group's project that aims to contribute to the digitisation of primary and middle schools within served areas, whether they be public or integrated private schools. In keeping with the Piano Nazionale Scuola Digitale (National Plan for Digital Education) - which identifiesdigitisation as a strategic element for educating young people and for local development - "Digi e Lode" is based on the awareness of the rapid changes that characterise today's world, in which scenarios are unfolding that until recently were unimaginable. But the skills and knowledge needed to deal with them can only be developed through a series of innovative tools that should be provided - above all - to schools, students and teachers. "Digi e Lode"is part of the wider educational initiative, "The Great Global Machine", which Hera addresses every year to local schools, sponsored by the Regional School Office. Activate Hera's digital services and reward schools in your city But, in practical terms, how does "Digi e Lode" work? Simple: Every time a customer activates one or more of the digital services mentioned, it will help increase the number of points that will be shared among the schools in his/her town. The customer can also choose which school should receive the points obtained by filling in the form on the initiative's dedicated web site, digielode.gruppohera.it. In this way, the points will be awarded to the chosen school and will acquire a higher value, being multiplied by 5. In the current school year (2017/2018), the Hera Group will donate to the 40 schools of the area (30 in municipalities with more than 50,000 inhabitants and 10 in municipalities below 50,000 inhabitants) that acquire the highest number of points a total of 100,000 euros, that is 2,500 euros for each school, to be used for digitisationprojects. The document shows that Italy ranks 25th out of 28 in Europe in the Digital Economy Index, the indicator that measures digital transactions in the economy and in society. The index, which is calculated by considering, among other things, connectivity, the diffusion of digital skills (the human capital), the use of the internet and thedigitisation of businesses, thus relegates Italy to the level of countries with the worst performance.
