2015 financial statements approved and dividends confirmed matching those of recent years, as foreseen by the business plan.

Shareholders' Meeting of 28 April 2016

The Hera Shareholders' Meeting was held in Bologna this morning, with both ordinary and extraordinary sessions.

Approval of the financial statements and the sustainability report. Dividend at 9 cent./share

In the ordinary session the Meeting approved the financial statements and the sustainability report for 2015, along with the Board of Directors' proposal to pay dividends of 9 euro cents per share, matching those paid in the previous financial year, as priorly announced in the business plan to 2019.
In particular, the 2015 financial year closed with positive economic results and a rise in all main indicators, thanks to the Group's solid business model and a good operational, financial and fiscal management: revenue reached € 4,487.0 million (+7.1% over the previous year), EBITDA settled at € 884.4 million (+1.9%) and net profit post minorities came to € 180.5 million (+9.5%).
The ex coupon date was set at 20 June 2016, with payment beginning on 22 June 2016. The dividend paid, based on the price of Hera stock at 31/12/2015, corresponds to an annual return of approximately 3.7%.

Amendment of article 4 of the Articles of Association

In the extraordinary session the Meeting approved amendments to article 4 of Hera's Articles of Association, consisting in an explicit statement that Hera S.p.A.'s company purpose also includes the possibility of engaging in activities involving management and/or supply of integrated energy services.
The activities in question are already practiced by the Company, but this must now be specified in the Articles of Association in order for Hera S.p.A. to obtain certification pursuant to UNI CEI 11352 regulations. This is because legislative decree 102/14, which implements EU directive 2012/27, requires companies, as of July 2016, to obtain this certification in order to be qualified to carry out a number of activities in the field of energy efficiency promotion, such as energy diagnosis, and to obtain white certificates.

Other resolutions approved

The Shareholders' Meeting, in addition to the report on corporate governance and compensation policy, lastly approved the renewal of the Board of Directors' authorisation to purchase treasury shares (along with the conditions of their disposal), for a maximum exchange value of € 180 million, for 18 months. This authorisation was requested so as to pursue the goals allowed by current regulations and accepted market practices, among which investment opportunities involving the use of treasury shares to increase the creation of value and possible acquisitions of stakeholdings that also include share exchanges.

COGEN: clean district heating in Bologna

It has the capacity to provide electricity and hot water to 8,000 houses, and is ready for new connections. The investment of over 17 million euro to upgrade the plant achieves a reduction in CO2 emissions, and also improves reliability and energy availability A modern power station that respects the area The latest Cogen district heating power station is situated on the site of a plant that has been operating since the 1990s. The foundations for an overall upgrading project focused on enhancing energy efficiency and environmental sustainability were laid between 2012 and 2015. Part of the old plant was demolished in May 2015, and the power station started feeding the district heating network in less than 18 months. In this plant, which has now been totally upgraded even from an architectural perspective, Hera produces energy with the cogeneration method, which entails combined production of hot water required for the district heating network and electricity. The entire project was conceived by Hera and envisaged an investment of more than 17 million euro. The benefits of a Cogen power station District heating is in itself a "sustainable" supply that respects the environment by ensuring a better performance than conventional domestic boilers. Moreover, the new plant situated in Borgo Panigale guarantees lesser emissions into the environment, more reliability and greater availability of energy. The plant that replaces the thermal power station in via Segantini, which has now been closed, allows to heat the equivalent of 8,000 households. The turbine can currently produce up to 35,000 MWh of energy a year, almost two-fold the amount produced in the past. By recovering heat contained in the exhaust fumes, the two gas turbines have the capacity to produce 7.44 MWt each. Moreover, another four traditional boilers guarantee additional 11 MWt to integrate the energy reserves. The new power station has drastically reduced emissions. Compared to the old plant, it is equivalent to planting 25,000 new trees every year or to avoiding the annual circulation of about 8,000 vehicles (annual reduction of 21 t of nitrogen oxide and 2,500 t of CO2).The plant has been studied even in terms of size to allow new network connections. Hence, during the forthcoming months Hera's appointed sales representatives will promote the creation of new network connections by offering potential clients the opportunity to participate in this great "green" project for the city. New clients will also have the additional benefits of district heating, which avoids the cost of purchasing and replacing the boiler, along with the related ordinary and extraordinary maintenance costs, besides a 24H emergency service that will be provided free of charge to all connected clients. Environmental sustainability and urban renewal Focus on the area to make the most of it also includes carefully studying the plant's decidedly innovative architectural features. Indeed, it has been developed harmoniously with the aesthetic layout of the urban renewal process carried out in the adjacent Area of the former Sabiem Foundry. Particularly, the power station's profile merges into the area, recalling the Gothic shapes of the city centre. The power station is floodlit with warm LED lights, and is lined with brick red ceramic panels and with perforated metal sheeting with a weathering steel coating. Even in terms of colours, the project has been studied to blend the most recurrent shades in the architectural framework of the city of Bologna, namely brick red, yellow ochre and brown. HERA Group's commitment for energy efficiency Over the past 10 years, the HERA Group has launched 447 projects to reduce energy consumption, saving 740,000 toe (tonnes of oil equivalent), which correspond to the annual consumption of 520,000 families, and avoiding the emission of 1.7 million tons of CO2. These numbers were published in the last sustainability report "Setting a High Value on Energy" of the multi-utility firm, during the past weeks. They also confirm that the overall goal of reducing corporate energy consumption by 3.7% within 2017 has been achieved, further inducing the company to establish a new target of -5% for 2020. These results are the outcome of integrated efficiency-boosting programmes that especially concern the Group's proprietary plants and offices, achieving, in 2016 alone, 4.7% energy saving from the waste cycle, 3.3% from drinking water, 2.3% from district heating, and 1.3% from the use of corporate vehicles. Hera foremost Italian company in Thomson Reuters' "Diversity and Inclusion Index"

List of shareholders with a stake of over 3% The Hera Group is the best company in Italy and the 14th in the world for investments aimed at promoting diversity and inclusion. This result was announced in the 2017 edition of Thomson Reuters' "Diversity and Inclusion Index", which examined a sample of over 6,000 publicly listed companies globally. The Italian multi-utility, with a score of 77.25, ranked second in the world in the utilities sector, improving its performance by almost six percent over 2016 (71.5) and thus rising by 46 positions in the global ranking. The "Diversity and Inclusion Index" is an ethical classification conceived and conducted by the international giant of financial information Thomson Reuters. It analyses companies' performances on the basis of a wide range of factors, falling into four categories: diversity, inclusion, people development and news controversy. The Hera Group's commitment to policies promoting inclusion and diversity has a long history. It was first consolidated in 2009, when the Charter for equal opportunity and equality on the workplace was signed: with this document the company engaged, alongside other private and public bodies, to the struggle against discrimination on the workplace. The introduction in 2011 of the Diversity Manager, whose task involves giving even greater emphasis to developing policies aimed at inclusion and the valorisation of diversity, was also fundamental. Mention must also go to the proportion of female personnel, which rose and is above the national average in the energy, water and environment sector (24.2%, compared to 15.9%), and to the presence of women in roles of responsibility that in Hera, in 2016, reached 31%. Many initiatives, lastly, make plurality management concrete, including agreements with daycare centres, summer camps and a range of programmes aimed at reconciling time for work and living. These are flanked by arrangements made for leave time not only for moms and dads but also for those who must provide assistance to relatives or elderly people.
