Hera Group approves Business Plan to 2025

The new five-year strategic document builds on the Group’s path of growth, with investments coming to over 3.8 billion and concrete energy transition and circular economy projects. A Plan that combines growth, value creation and sustainable development

Today, the Hera Group’s Board of Directors, chaired by Tomaso Tommasi di Vignano, approved the Business Plan to 2025, which consolidates the Group’s commitment to balanced and sustainable development in all business areas, with the aim of continuing to create value for shareholders, local areas and the communities served. 
With Ebitda expected to reach 1.4 billion in 2025 and investments totalling approximately 3.8 billion over the period covered by the Plan, this five-year strategic document shows increases in all main targets and outlines a wide range of actions for the energy transition, the circular economy and technological evolution, with concrete and innovative projects that will also benefit from funding opportunities coming from the Recovery and Resilience Plan. 

20 years of uninterrupted growth, and 2021 Ebitda expected to total over 1.2 billion euro

The new Plan is based on a trend of uninterrupted growth, as is proven by Group Ebitda, which has increased more than sixfold in 20 years. This consistent and linear path has been seen since the establishment of the Hera Group, which is characterised by a full correspondence between the commitments made and the initiatives implemented, capital and financial solidity and a multi-business strategy that balances regulated and free market activities, internal growth and M&A transactions. This model, which has proved its resilience and capability of supporting stakeholders, even during adverse scenarios, has enabled the Hera Group to consolidate leading positions in all business areas.
Projections for 2021 year-end results are also positive, exceeding expectations, with a preliminary Ebitda rising to over 1,220 million euro, compared to 1,123 million at the end of 2020, and a net debt/Ebitda ratio coming to approximately 2.7x, an improvement on 31 December 2020. Last year, in addition to increased dividends, significant investments were seen, amounting to over 650 million euro, with strong growth over 2020. 

A recovering macroeconomic scenario, with coordinated actions for a fair and sustainable transition

After the slowdown seen in 2020 due to the health emergency, global trends are now positive, with the European and Italian economies returning to rapid growth. This recovery, moreover, is generating tension in some sectors, such as raw materials, causing a significant increase in market volatility, which is set to continue in the coming months, and which will see the Group further strengthen both its risk management strategies and its actions to support stakeholders. In this framework, European and national institutions are implementing coordinated and convergent actions aimed at a fair, sustainable and inclusive transition. In particular, with its Recovery and Resilience Plan, Italy has entered the executive phase of the Green Deal, with funds supporting carbon neutrality interventions and regenerative and circular development models. The opportunities seen in the Italian context also include those related to the consolidation of markets that are still overly fragmented, tenders for the renewal of services under concession, and the further liberalisation of electricity sales, with the elimination of protected markets.

Three focal points of the Business Plan to 2025: environment, socio-economic factors and innovation

In a context undergoing recovery, with an increasing emphasis on sustainability and the utilities sector set to benefit from the most significant share of the Recovery and Resilience Plan, the Hera Group will be able to continue to leverage the competitive position it has cultivated over the years and thus grow. 
In full compliance with national and European policies and the objectives on the UN’s 2030 Agenda, which have been guiding Hera’s strategies for some time, all projects in the Business Plan to 2025 are structured around three focal points: the environment, socio-economic factors and innovation, with initiatives for the green and digital transition, capable of generating positive effects in the areas served. 
The environmental focal points include initiatives to combat climate change, in order to achieve carbon neutrality, with actions to reduce emissions, increase infrastructure resilience and promote the circular economy. The socio-economic aspects, on the other hand, aim to create “shared value”: under the Plan, the Hera Group will extend the range and quality of its services in areas where it has been present for quite some time, reinforced by the newly awarded tenders for regulated service concession renewals, and in new areas as well, and will seize further development opportunities through external growth. Lastly, innovation will embrace all opportunities linked to technological evolution, with the aim of further increasing the efficiency and quality of services, and above all introducing changes in its model of organisational management.

A strong increase in investments, coming to over 3.8 billion euro, thanks to the Group’s financial solidity

The Plan to 2025 calls for a sharp increase in investments, amounting to more than 3.8 billion euro, or approximately 770 million per year. This is a very significant rise – equivalent to 60% – compared to the average seen over the last five years, and is possible thanks to its solid financial structure, reinforced over the years and in 2021 as well. Investment allocation combines internal development opportunities with actions to increase system resilience (accounting for roughly 1.2 billion). Significant investments for innovation will be made in all business areas and support will be given to the ongoing transition.
In general, of the total investments envisaged in the Plan, more than 1.7 billion are aligned with the criteria with which the European Taxonomy identifies opportunities that contribute to environmental policy objectives, in particular the two areas regulated for now, relating to mitigation of and adaptation to climate change. Furthermore, many of these interventions respect the directions indicated by the Recovery and Resilience Plan. 
Thanks to an optimisation of financial and fiscal costs, the Plan outlines an increasing creation of value, as seen among other factors by ROE and ROI, projected at 10.6% and 8.7% respectively in 2025, a particularly appreciable result considering that the recent reduction in WACC for regulated activities concerns 60% of the invested capital. Moreover, the net debt to Ebitda ratio at 2025 is expected to be 2.8x, consistent with the current figure and indicative of a strong self-financing capability, providing room for manoeuvre that will allow the Group to take advantage of any additional unforeseen opportunities that may arise during the period covered by the Plan. 

Ebitda expected to rise to 1.4 billion by 2025, thanks to both internal and external growth

The improved scenario and the increase in investments have enabled the Hera Group to revise all its five-year targets upwards, first and foremost Ebitda, which is expected to reach 1.4 billion euro in 2025, 277 million more than the 1,123 million seen at the end of 2020. The average annual increase comes to 4.5%, higher than the 3.7% forecast by the previous Plan (this data already includes the impact of the reduction in tariffs following Arera’s WACC revision for regulated activities included in gas, electricity and water bills).
Besides the positive contribution coming from all business sectors, internal growth and operating efficiencies will contribute 192 million euro to Ebitda, while 100 million will come from new M&As, plus any synergies that the Group will be able to extract, in line with its previous trends. A further 22 million in Ebitda will be generated by the operations concluded in late 2020 and early 2021: the acquisition of the company Wölmann, which operates in photovoltaic panel installation, the energy sales company Ecogas and three companies in the industrial waste sector: Recycla, Gruppo Vallortigara and SEA. Synergies, efficiency gains, expansion of market shares, new projects and investments will thus make it possible to offset the negative impacts, totalling 37 million, deriving from the loss of some incentives, such as those on the production of renewable energy, and the cut in the WACC on regulated services mentioned above. 

Sustainability as a strategic priority: “shared value” Ebitda at 55% in 2025, almost 70% in 2030

Sustainability remains one of the cornerstones of the Group’s strategies for growth, perfectly integrated and relevant to all operating areas, with an increasing focus on creating value for stakeholders, as shown by the recent introduction of the concept of corporate purpose in the Group’s Articles of Association. “Shared value” Ebitda itself, reported since 2016 and referring to business activities that meet the sustainability goals on the UN Agenda, has increased steadily over the years. It is expected to reach roughly 55% of total Ebitda in 2025, equivalent to 780 million euro, and to amount 70% in 2030, along a linear path that generates concrete benefits for the areas and communities served, proportionately reflecting the company’s own development.
The Hera Group’s best practices in ESG areas, in any case, have long been recognised both nationally and internationally. Along with ranking first in the 2021 Integrated Governance Index, which measures the integration of sustainability into corporate strategies, Hera has been included, as leader in its sector (Multi-Utility & Water), for the second year in a row, in the Dow Jones Sustainability Index, World and Europe, one of the most authoritative stock exchange indices in the world assessing social responsibility. 

Further increase in dividends, rising to 14.5 cents per share

As confirmation of its focus on generating value for shareholders, the Group plans to pay steadily increasing dividends: upon approval of the 2021 Financial Statements, the Group will in fact propose to the Board of Directors a 12 €cents/share dividend, compared to 11 €cents/share for the 2020 dividend, thus showing an increase of 1 €cent instead of 0.5 €cents, as initially planned. This additional increase will thus benefit all prospected dividends, which will reach 14.5 €cents/share in 2025 (32% more than the last dividend paid). 
This higher dividend payment is in line with the expected trend in earnings per share, which will also rise by 5.7% per year on average until 2025.

The networks sector: resilience, resource regeneration and development of “clean energy” solutions

Ebitda expected in 2025 from the networks sector – which includes electricity and gas distribution services, the water cycle and district heating – comes to 533 million euro, up 73 million compared to 2020. This target is all the more significant considering that it fully offsets the revised WACC, effective as of 1 January 2022, which will have a -22 million impact over the period covered by the Plan.
Most of the internal growth will come from two main drivers: infrastructure development, with investments bringing overall RAB to 4 billion euro, and further cost efficiency coming to 40 million euro, made possible among other things by an increased use of digitalisation and innovations on infrastructures that introduce new operating models.
More specifically, Hera will invest approximately 2.1 billion euro in extending, modernising and evolving its networks, focusing on integrating traditional methods with technologically innovative solutions to ensure resilience, efficiency and business continuity even in the event of extreme weather events. 
Interventions for the smart transition include installing approximately 420,000 second generation (2G) electricity meters that will measure consumption more precisely. As regards gas distribution, in addition to replacing gas meters in compliance with regulatory obligations, installation of “NexMeter” devices will continue, patented by the Group and equipped with advanced safety functions in the event of leaks or earthquakes, and cutting-edge technology in terms of reducing gas dispersion into the atmosphere. By 2025, 300,000 will be installed, 200,000 of which in the new recycled plastic version and ready to measure blends with “green gas”. This green version of NexMeter will be at the centre of the first trial in Italy concerning the use of gas and hydrogen mixtures in household gas distribution, in the Modena area. 
Hera’s multi-business competence, indeed, represents a strategic opportunity to develop solutions in the field of “clean energies”, as shown by the project for a unit with power-to-gas technology at the Bologna Corticella purification plant, already at an advanced planning stage, with start-up expected by 2023. 
As regards tenders for gas distribution, Hera aims to confirm its position as service manager in the areas already covered, with two more tenders expected over the period covered by the Plan, in addition to ATEM Udine 2, which the Group was recently awarded. 
In district heating, Hera’s goals include increasing volumes distributed and developing the heat generation mix, with the goal of reaching 77% of energy from renewable and assimilated sources in the networks managed by the Group within 2025. 
Lastly, in the water cycle, Hera will aim for an increasingly efficient use of water resources, with a reduction in consumption and circularity solutions, and will invest in new technologies to increase network efficiency and resilience, through means including enhanced automation and remote monitoring.

The energy sector: 4.5 million customers by 2025 and focus on value-added services and energy efficiency

By 2025, Ebitda in the energy sector will amount to 444 million euro, up 76 million compared to the 368 million seen in 2020, while the investments made during the period covered by the Plan period will come to approximately 550 million euro.
Hera will continue its efforts to expand the customer base, with the aim of consolidating its position as the third largest operator in the energy sector in Italy and reaching 4.5 million customers by 2025, due to factors including upcoming competitive procedures for eliminating protected markets. This will be due to significant investments in customer experience, to improve its effectiveness and efficiency, introducing new functions and tools to encourage customer involvement and interaction with the company, while maintaining the “cost to serve” per client stable over the years. 
Ebitda will be sustained first and foremost by extracting commercial expansion and cross-selling activities – amounting to approximately 27 million – due in particular to the integration of EstEnergy, the internal growth created by sales campaigns and the increased amount of value-added services and energy efficiency, continuing also to take advantage of all the opportunities related to the so-called super-ecobonus. The range of value-added services, in particular, will be further expanded with solutions for reducing consumption and new integrated proposals for protecting the environment, such as photovoltaics. This focus on sustainability is confirmed by the fact that proposals are already made to all retail customers for 100% energy from renewable sources. Hera will also continue to invest in developing electric mobility, with the aim of installing more than 4,000 recharging points by 2025, integrating its offer with a series of advanced products and services.
Lastly, as regards external growth, following up on the acquisitions already completed, the Group will aim to acquire new customer packages in a market that is still highly fragmented and in which smaller operators, vulnerable due to the currently high volatility of energy markets, are disappearing. 

A leader in waste management, with outstanding plants and innovative projects for the circular economy

Ebitda for the waste management sector will also rise, going from 258 million euro in 2020 to 380 million in 2025, with investments expected to amount to almost 1.1 billion over the period covered by the Plan.
In this sector, the Hera Group is the leading operator nationally, with a set of approximately ninety state-of-the-art facilities in line with European best practices, capable of treating all types of waste. Under the Plan, the Group aims to consolidate its leadership through new acquisitions, commercial development, growth in volumes treated, increased recovery and recycling activities. It will thus meet the rapidly growing demand and continue to implement projects in support of the circular economy. 
Group subsidiary Aliplast, already a leader in plastics recycling, will play a central role in promoting the circular economy, extending its efforts by increasing the capacity of plants dedicated to treating flexible plastics (PET and LDPE). Thanks to its partnership with NextChem, part of the Maire Tecnimont Group, it will also enter the rigid plastics segment, with the construction in Modena of an innovative plant producing high-quality recycled polymers, which will promote the sustainability of certain sectors, such as IT and consumer electronics, which until now have only been able to use virgin plastics for their products. A new plant is also being planned to recycle carbon fibre, which can then be reused to make new products, particularly in the automotive sector. In general, the objective is to increase the volume of recycled plastic by 125% in 2025 compared to 2017.
In addition, Hera plans to double its production of biomethane – reaching 16.8 million cubic metres per year in 2025 – by replicating the positive experience of the Sant’Agata Bolognese plant in Bologna area, which produces compost and biomethane from organic waste, fuelling sustainable mobility. Through the NewCo Biorg, born out of a partnership with the Cremonini Group, a plant in Spilamberto in Modena area will be restructured to produce biomethane and compost from organic waste and agro-food waste, while in the Marche region Hera is continuing to work on an anaerobic biodigester from organic waste, generating positive effects in an area currently lacking in facilities of this type. 
Thanks to its unique offer of sustainable and integrated solutions, Hera also aims to expand its industrial customer base. The synergies between the Group’s companies make it possible to offer businesses customised “turnkey” service packages that include all activities relating to the waste cycle, water resources and energy services. A further contribution to enriching Group’s proposals and its geographical coverage will come from recent M&As in industrial waste treatment: in 2021, in fact, Hera acquired 70% of the Friuli-based company Recycla, 31% of Sea in the Marche region and 80% of the Vallortigara Group located in Veneto. 
Lastly, as regards municipal waste services, the Group has already won tenders in the Ravenna-Cesena, Modena and Bologna areas and aims to confirm its management of this service in the remaining areas already covered in Emilia-Romagna. In these areas, Hera intends to further improve the percentage of sorted waste collected, reaching 76% by 2025, with measures to increase its quality as well, such as involving citizens and businesses with dedicated initiatives and communication campaigns, and installing around 62 thousand “Smarty” computerised bins, automated and remotely controlled, during the period covered by the Plan.

The main industrial objectives to 2025, with an eye on 2030 as well

The Group’s commitment towards the content of the Plan to 2025 translates into industrial objectives consistent with European policies and UN recommendations. Moreover, in order to define its contribution even more precisely, Hera has extended its perspective to include a series of targets to 2030.
One of the most important of these goals is to work towards carbon neutrality. Hera has set itself one of the most ambitious greenhouse gas emission reduction targets for a company in Italy: 37% by 2030, after achieving 26% in 2025 (in both cases compared to 2019). This target – validated by the prestigious international network Science Based Target initiative – is even more significant since it takes into account both the Group’s activities and those of its suppliers and customers in electricity and gas sales.
The Group has also confirmed its commitment to the circular economy and regenerating resources. Some targets include: increasing the percentage of packaging recycling, from 73% in 2020 to 76% in 2025 and over 80% in 2030, and increasing the percentage of wastewater reused, from 5.1% in 2020 to 8.5% in 2025 and 15% in 2030.

The Hera Group’s Business Plan to 2025 outlines new development objectives for our company, in economic terms and as regards sustainability. In order to achieve these goals, we have allocated significant investments to continue introducing cutting-edge projects in the areas where we have a consolidated presence. Our multi-utility has now reached maturity, and not only in terms of age: this Plan crowns 20 years of progressive and linear growth, which has also generated value in the communities served. We have proved able to look to the future, extending our knowledge and perspectives, while being able to count on the solid foundations provided by our heritage and a consolidated strategy. Above all in the difficult times that our country has recently experienced, we have continued to guarantee quality services – as demonstrated by being awarded all tenders for regulated services held to date in the areas we cover – and to support those who have believed in us. This means our employees, customers, suppliers and shareholders, to whom we plan to pay dividends with further increases compared to what was previously defined, reaching 14.5 cents per share by 2025, following a growth rate of approximately 6%, in line with the expected trend in net results.

The strategies set out in the Hera Group’s Business Plan to 2025 confirm and consolidate the orientations we have defined in the past, proving the effectiveness of the guidelines adopted by our multi-utility, which perfectly reflect European policies and the drivers of the UN Agenda for Sustainable Development. The improved cash flows expected will make it possible to self-finance our entire investment plan and remuneration for our shareholders. In order to focus our actions even more effectively, over the last two years we have begun measuring our progress with respect to the ambitious targets set for 2030, thus strengthening our commitment to the energy transition, the circular economy and technological evolution. Business activities and attention to ESG factors have always gone hand in hand for us, and over the years “shared value” Ebitda has grown at the same rate as the Group itself: in 2025 we expect this figure to reach 55% of total Ebitda, rising to 70% in 2030.

NextChem will provide technology and engineering, procurement and construction services to build a plant which will use proprietary innovative technology MyReplastTM for upcycling of plastic waste into high value-added polymers. These partners are each leader in their respective sectors. Hera Group's Herambiente unit - Italy's pioneer in the treatment of all types of waste - has 90 plants with an important know-how in the management of the entire environmental chain, in which Aliplast contributes with a circular and integrated stronghold in plastic sector. Maire Tecnimont Group is a global leader in process engineering and strongly committed - through its subsidiary NextChem - to developing projects and technologies for the energy transition and circular economy. Maire Tecnimont adopts an innovative industrial approach focused on engineering of transformation processes able to produce polymeric high value-added materials which can replace virgin materials derived from fossil sources. The synergy between skills and resources of these two big players will result in the only plant of its kind in Europe. One of Hera Group's sites will use the innovative MyReplastTM technology licensed by NextChem and will produce recycled polymers of high quality and purity, with high-level chemical-physical and mechanical performance. The aim of the plant is to treat post-consumer plastic waste to obtain customized recycled products capable of meeting customer requirements and quality market standards, with features and properties on par with virgin polymers from fossil sources. This is a cutting-edge plant engineering experience. Once fully operational, the plant - powered by green sources thanks to Herambiente - will be able to produce up to 30,000 tons of polymers per year. The plant will ensure high security standards and be equipped with innovative features such as processes automation and high digitalization for data analytics, thereby allowing it to maximize energy efficiency, delivering further environmental benefits. With this agreement, Aliplast takes another step forward in its mission to attain excellence, also at international level, in plastic recycling and regeneration. It is the first Italian company to have reached full integration in the plastic life cycle, using technology completely developed in house. Aliplast operates plants in France, Spain and Poland and is leader in the production of flexible film of PE and PET sheets, with 90,000 tons per year of finished products and regenerated polymers, and over 90% recovery/recycling in terms of volumes. The partnership with NextChem will allow Aliplast to exploit recycling and compounding opportunities in order to expand into the sector of rigid plastics, like PP, HDPE and ABS, which are difficult to recycle effectively with mechanical processes. The aim is to continue to serve customers offering them a larger choice of high-quality recycled plastics, moving towards more advanced circular economy models in line not only with EU and UN targets but also with the New Plastics Economy Global Commitment developed by the Ellen MacArthur Foundation, an important international network for the circular economy, of which Hera Group is a member. The Hera Group as well has now become part of the Circular Economy Alliance, which has brought together important companies that symbolise the best of “made in Italy” and are committed towards circularity. The goal is to reinforce the continuous improvement made in the area of sustainability on a daily basis, by way of challenging initiatives, in order to make innovation and sustainability an integral part of business and a strategic competitive choice, also taking into account the fight against climate change. Our multi-utility has been following this path for some time, considering that since 2017 it has been a member of the Ellen MacArthur Foundation, which brings together leading figures worldwide in this area.Circular economy, moreover, is equally crucial for the Hera Group as the creation of “shared value”, because on the one hand it generates value for the company, and on the other leads to savings in terms of natural resources and meets the priorities and most urgent demands involved in the planet’s sustainable development. The Circular Economy Alliance maintains that a unique occasion has now arisen to boost coordinated and determined efforts favouring a new model of development. Today’s health emergency has reinforced many elements prefigured by the climate crisis, showing that many systems (natural, economic and social) are strongly interconnected: pursuing a circular economy model is not only a mandatory choice, it is also an opportunity to boost our country’s competitiveness. This is possible through a commitment shared by all stakeholders, and involves interpreting circular economy principles as a driver for innovation across the country, calling for a new paradigm for our productive systems, to be redesigned and innovated in order to allow cycles to be closed and renewable material and energy to be used. The Alliance’s vision is furthermore based on a circular development that begins with valorising Italy’s most outstanding brands, and that takes concrete shape through on the one hand by supporting companies in producing sustainable innovation, and on the other by involving and supporting supply chains, allowing products to have longer useful lives and maintain their value. The experience gained by Hera Luce included in the Alliance’s new Position Paper The Alliance’s 2020 Position Paper presents a road map for reaching a circular economy model, with five objectives and 23 detailed actions, aimed at making the most of the potential for economic, social and environmental development linked to a circular economy: a 7% increase in investments and a 10% reduction in costs for raw materials in addition to 700,000 new jobs in Europe by 2030. From an environmental point of view, in Italy, the complete development of a circular economy would lead to a 56% fall in CO2 emissions by 2050. The Position Paper furthermore presents the experience gained by the members of the Alliance, focused on the most important value chains in various sectors: consumer goods, circular bioeconomy, chemicals and engineering, energy and utilities, finance, fashion and luxury, shipbuilding, food services and tourism. The document is accompanied by projects and good practices that prove the effectiveness of circularity and the concrete efforts made by the members of the Alliance. The Hera Group is present in the new Position Paper with Hera Luce, its public lighting company that serves over 180 municipalities in 11 regions of Italy, with a total of 530 thousand lighting points, thus ranking among the nation’s leaders in this sector based on its size. Hera Luce, in particular,has developed an innovative and unique system for measuring circularity in lighting systems. All of this is in line with current Italian and European policies, oriented towards developing a circular economic system that makes room for better performing production processes, creating less waste and optimising energy consumption, to the advantage of the community. This unique experience also meets the circularity requirements foreseen by the Ministry for the Environment’s CAMs as regards lighting devices and services, that the Hera Group has now shared with the members of the Alliance. “Circular economy, for Hera, is an excellent opportunity to respond to the priorities and most urgent challenges in our planet’s sustainable development”, affirms Stefano Venier, Hera Group CEO. “It is a new prospective that orients our business towards an economic growth which is able to generate shared value for the local areas and communities we serve. Fruttagel opts for the Hera Group’s multiservice proposal, built around a circular economy

2020-09-17 The two companies have signed the Hera Business Solution protocol for managing integrated waste, drinking water, purification and energy efficiency enhancement services. This multiservice proposal is offered to large companies who wish to reach goals in sustainability, which are measurable and increasingly demanding in various areas, making the most of the skills provided by a single partner. Circular economy and sustainability are at the heart of the Hera Business Solution protocol, signed today by the Hera Group, one of Italy’s largest multi-utilities, and Fruttagel, a national leader in the food sector, specialised in the industrial transformation of fresh fruit and vegetables, cereals and beans. Thanks to the Hera Business Solution, a multiservice offer conceived for large companies, the Hera Group will lend its companies’ experience to Fruttagel. The support provided will allow the latter to meet rising and increasingly challenging goals in circularity along its entire production chain, broadening the range of services already provided by the Group and thus allowing it to count on the benefits ensuing from dealing with a single partner. Circular economy, indeed, is a concept often associated only with the waste treatment sector, while actually covering all areas and therefore also concerning the responsible and efficient use of water and energy. Circular economy across the board with Hera Business Solution The Hera Business Solution protocol signed by Hera and Fruttagel is a valid example of an agreement between different sectors of production that aims at providing solutions for both environmental and production issues, fully deserving a place within the circular economy circuit. This collaboration is part of a process already underway with Fruttagel, that uses a few services offered by the Hera Group, for example managing waste, with plans to reduce it and global service solutions to maximise recovery, and the purification plant; supplying drinking water; selling energy and web tools to analyse and manage energy consumption and evaluate its effects; offering data connectivity, internet and data centre services. Now that the Hera Business Solution protocol has been signed, the multi-utility will launch a phase of consulting to draft a monitoring model that covers all Fruttagel’s activities and provides support in reaching environmental sustainability goals in terms of raising consumption efficiency, improving environmental performances and reducing energy and environmental impact. The bar set for these goals will become even higher, owing to the broader range of coordinated services provided by the Hera Group. With the Hera Business Solution, the Hera Group is indeed available as a partner for large industrial groups, with an overall proposal consisting of integrated energy and environmental solutions, sustainable and well-defined for single businesses, taking their own complexity into account. The goal is to set out new opportunities for growth, working alongside companies, to reduce as much as possible costs for the community, the environment and future generations. All of this will involve regenerating natural resources, lengthening the useful life of goods and resources and developing skills for an efficient use of raw materials. The Circular Economy Report, to describe and measure sustainability Measuring and reporting are ever more crucial to remain competitive on the market, in reputational terms as well. In order to present results or previously launched sustainability projects, the Hera Group will lend Fruttagel its consolidated experience in this field, designing and drafting along with this company a report on the sustainability performance reached. The report will be constructed by including indicators concerning the main services acquired/provided, for example recovery in waste managed, greenhouse gasses avoided, renewable energy used and the primary energy saved thanks to efficiency interventions and cogeneration plants. Diversity & Inclusion: Hera ranks 12th among the world’s best companies

2020-09-16 The Hera Group continues to rise in Refinitiv’s international ranking, the “Diversity & Inclusion Index”, a reference point for investors who look with interest towards the businesses committed to promoting diversity, inclusion and people development. Twelfth overall and second in Italy in the 2020 edition, Hera furthermore ranked once again as the world’s leading multi-utility. The Hera Group continues to rise in Refinitiv’s international ranking, the “Diversity & Inclusion Index”, a reference point for investors who look with interest towards the businesses committed to promoting diversity, inclusion and people development. Twelfth overall and second in Italy in the 2020 edition, Hera furthermore ranked once again as the world’s leading multi-utility. This year as well, the “Diversity & Inclusion Index” confirms the Group’s presence among the world’s 25 most interesting companies for investors inclined towards companies committed to guaranteeing diversity and inclusion. It is now well-known internationally, indeed, that companies adopting policies oriented towards Diversity & Inclusion (D&I) can obtain both economic and social benefits, in terms of sustainability and wellbeing. In the 2020 edition, which examined a broader range of listed companies coming to over 9,000 worldwide, Hera’s score of 77 points made it the second company in Italy and 12th in the world, further improving its position (after ranking 14th in 2019). The Group was furthermore confirmed as the leading multi-utility globally. The “Diversity & Inclusion Index” was conceived and is carried out by the international financial information giant Refinitiv (formerly Thomson Reuters), which analyses corporate performance based on a range of ESG (environmental, social and governance) factors. It mainly focuses on four areas: diversity, inclusion, people development and controversies published in the media. This is one of the world’s foremost initiatives in data collection and analysis concerning the commitment shown by companies towards these issues. This result comes only a few weeks after Hera stock, already listed on the FTSE MIB as of March 2019, was included in the FTSE4Good, an important set of ethical indexes created to encourage investment in companies that meet rigorous criteria in the environmental, social and governance area. These recognitions prove that our company’s attention towards these issues have made it a pioneer, nationally and internationally. As early as 2009, indeed, our multi-utility signed the Charter for equal opportunity and equality on the workplace, and in 2011 it introduced a Diversity Manager who, supported by a team of employees coming from various areas and companies belonging to the Group, is responsible for planning projects that reflect the company’s policy in valorising diversity, equal opportunity and equality on the workplace. The centre of the Hera Group’s personnel policy is unquestionably its corporate welfare plan, which supports employees and their families, dedicating 4.5 million euro overall in services requested in 2019 alone. Our multi-utility, furthermore, has always invested in developing personalised internal career paths. The percentage of women covering roles of responsibility increased in 2019, coming to 33%, as did the amount of female personnel, reaching 26.6%, well above the national sector average. Equal opportunity is accompanied by a significant amount of training, which 99.4% of workers received in 2019 (roughly 30 hours per capita on average, in this case as well higher than the sector average). 2020-07-29 1H 2020 Although feeling the impact of the Coronavirus emergency, the half-year report shows operating-financial indicators rising, thanks to increased efficiency achieved in the Group's various business areas and the recently enlarged scope of operations. The positive trend shown by our multi-utility was confirmed, with main operating-financial indicators improving, in spite of a few inevitable negative impacts caused by the health emergency that broke out across the country. In general, the good results reached confirm once again the Group's valid business model, which balances regulated and free-market activities, along with internal and external growth, creating value for the areas served. Relying on its own financial solidity, Hera continued to proactively introduce, in the second quarter as well, a range of measures aimed at guaranteeing service continuity even while the emergency was still fully underway. Furthermore, support and protection were ensured for all main stakeholders, first and foremost employees, suppliers and customers, through means including favourable conditions for bill payments. Among the major changes in the Group's scope of operations compared to the first half of 2019, note the acquisition in July of the waste treatment plants belonging to Pistoia Ambiente in Tuscany and, in December, the closing of the partnership between Hera and Ascopiave. This latter transaction led, through EstEnergy, to the birth of the largest energy operator in North-Eastern Italy while at the same time redistributing the respective activities in gas distribution. In recent weeks, lastly, Hera stock was included in the FTSE4Good Index Series, a set of ethical indices conceived by FTSE Russell to bring together the best companies who, around the world, are actively committed to sustainable development. This important recognition came just over one year after Hera was listed on the FTSE MIB. Revenues rise to over 3.4 billion euro In the first half of 2020, revenues amounted to 3,402.3 million euro, up 30.7 million (+0.9%) over the 3,371.6 million seen in the same period of 2019. This growth was mainly due to the changes in the scope of operations, which offset the fall in revenues for trading, production and sales of electricity and gas, heat management and district heating. Revenues also fell in the waste management sector, owing to lower revenues in electricity generation and lower volumes of waste treated. Ebitda increases to 559.7 million euro Ebitda settled at 559.7 million euro, up 13.8 million (+2.5%) compared to the 545.9 million seen at 30 June 2019. In the first half of the year, the health emergency impacted all business areas, bringing about an overall decrease in margins coming to roughly 30 million euro, entirely due to non-recurring effects and in line with the projections communicated in late March, when the year-end report was approved. In spite of this, the changes in the scope of operations, especially the entry of the companies belonging to the EstEnergy Group following the partnership with Ascopiave, along with the numerous measures introduced to enhance efficiency, allowed Hera to offset the negative effects and keep growing, above all in the energy areas. Operating result grows to 295.7 million euro The operating result rose to 295.7 million euro, up 6.8 million (+2.4%) over the 288.9 million seen in the same period of 2019. Financial operations came to 56.2 million euro at 30 June 2020, changing by 11.3 million mainly due to the higher notional charges created by the put option concerning the shares held by Ascopiave and lower profits coming from joint ventures, largely owing to the consolidation of EstEnergy. This result was offset by an equal amount coming from improved debt management, with a reduction in the average medium and medium-long term interest rate. Pre-tax profits settled at 239.5 million euro, down slightly compared to the 244.0 million euro seen in the first half of 2019. Net profit rises to 174.9 million euro Profits at 30 June 2020 came to 174.9 million, up slightly (+0.6%) compared to the 173.9 million seen at 30 June 2019, while profits pertaining to Group shareholders amounted to 166.2 million euro, in line with the same period in the previous year. These results benefitted from a tax rate coming to 27%, a clear improvement with respect to the 28.7% recorded in the first half of 2019, thanks in particular to the Group's efforts in sustaining significant investments supporting a technological, digital and environmental transformation, in addition to the positive effects of the measures introduced by the government in the Relaunch Decree. Over 240 million invested, improvement in financial position In the first six months of 2020, the Group's overall investments amounted to 240.6 million euro, up 16.2% compared to the 207.0 million recorded at 30 June 2019. Operating investments mainly concerned interventions on plants, networks and infrastructures, in addition to investments involved in an intensive meter substitution and in the purification and sewerage area. Total investments also included financial investments coming to 45.5 million. The Group's net financial position, which reached 3,083.6 million euro at 30 June 2020, showed a 190 million (5.8%) decrease compared to the 3,274.2 million seen at 31 December 2019. This was due to a positive cash generation that entirely financed investments and M&A transactions, and that would also have been able to cover the annual dividend payment, which was postponed by a few weeks simply as a precautionary measure and regularly paid on 8 July. The Group's financial solidity was confirmed by the ROE and ROI profitability indices, which respectively came to 10% and 9%, and by the Net debt/Ebitda ratio, which settled at 2.81x in the first half of 2020, improving compared to the 3.02x recorded at the end of 2019. The Net debt/Ebitda ratio, not considering changes in the scope of operations and thus excluding the value of the put option for EstEnergy, improved to 2.35x, compared to the 2.55x seen for the same period one year earlier. Gas area Ebitda for the gas area - which includes services in natural gas distribution and sales, district heating and heat management - amounted to 200.8 million euro in the first half of 2020, improving compared to the 195.6 million seen at 30 June 2019 (+2.7%). This was mainly due to the entry of the new companies belonging to the EstEnergy Group and AmgasBlu, as well as the four portions of last resort services and two portions of default services awarded. The increase offset the lower volumes of gas sold and the lower margins in district heating and heat management, caused by the mild temperatures seen in the first half of 2020 and the negative effects coming from the Coronavirus emergency. Furthermore, distribution activities recorded the first effects of the revised tariffs introduced by Arera, effective as of 1 January 2020, which brought about a significant reduction in recognised operating costs and a fall in Wacc. The recent partnership with Ascopiave was also decisive in increasing the customer base, which rose by roughly 560 thousand (+38%), bringing gas customers to over 2 million. The gas area accounted for 35.9% of Group Ebitda. Water cycle area Ebitda for the integrated water cycle area - which includes aqueduct, purification and sewerage services - went from 122.8 million euro in the first half of 2019 to 122.7 million at 30 June 2020. Due to the negative effects of the Coronavirus emergency, new connections, customers requests and subcontracted works fell, but were largely offset by the efficiency enhancement measures introduced by the Group. The integrated water cycle area accounted for 21.9% of Group Ebitda. Waste management area Ebitda for the waste management area - which includes waste collection, treatment and disposal services -settled at 122.4 million euro in the first half of 2020, dropping slightly (-3.1%) compared to the 126.3 recorded at 30 June 2019, mainly due to the end of incentives for the Ferrara WTE plant and the negative impact of the Coronavirus emergency, which led most businesses to be closed, causing a fall in the production of waste, above all urban waste. These negative effects were partially offset by the positive trend in prices for special waste, whose volumes remained essentially unchanged in spite of the lockdown, even though they showed a different mix. In this particular context, the Hera Group indeed proved able to react swiftly, making its professional services available to the communities found in the areas served and to its own customers, to overcome the emergency together. All waste treatment plants remained operational and at the service of business customers who continued to produce essential goods, and continuing work was also done on initiatives concerning a circular economy, such as the beginning of the authorisation procedures required to create a second plant producing biomethane from the organic portion of waste, in the Ravenna area. Sorted waste settled at 64.4%, increasing slightly compared to the 63.4% seen in the first half of 2019. The waste management area accounted for 21.9% of Group Ebitda. Electricity area Ebitda for the electricity area - which includes services in electricity generation, distribution and sales - rose to 97.0 million euro in the first half of 2020, compared to the 86.3 million seen at 30 June 2019, with a 12.3% increase. Despite the negative effects of the health emergency, as with the gas area, this growth was mainly due to the changes in the scope of operations following the Ascopiave partnership, but the positive margins in electricity generation also partially contributed, especially as regards dispatching services. Customers increased by 160.4 thousand (+14%) over 30 June 2019, now reaching slightly over 1.3 million. This growth in the customer base was seen on the free market, due to the entry within the consolidated scope of operations of the companies belonging to the EstEnergy Group and AmgasBlu, and to reinforced marketing initiatives, which thus proved able to more than offset the drop seen in safeguarded and protected customers. The electricity area accounted for 17.3% of Group Ebitda. Continuing efforts will be made in pursuing growth during the second half of the year as well, in line with the targets set out in our Business plan, hoping that the external context also moves in the direction of a complete recovery. Our solid growth levers (internal growth and M&As) have allowed us to continue creating value for our shareholders, by paying more than 160 million euro in overall dividends in early July, entirely covered by the cash generation achieved over the period". 2020 Integrated Governance Index: Hera once again ranked at the top of sustainable finance

2020-07-15 Integrated Governance Index 2020 - Top10 For the third consecutive year, the Group ranked first in the inquiry on integrating ESG factors within corporate finance. After pioneering this field by issuing Italy's first green bond and the first sustainable revolving line of credit, Hera has continued to place sustainability at the root of its strategies 2020 Integrated Governance Index: Hera once again ranked at the top of sustainable finance Sustainability, the centre of the Group's strategy Financial communities and investors, above and beyond considering a company's results, are increasingly looking into why and how these results are reached. This means that today, all businesses are required to integrate ESG factors into their strategic planning. This fundamental aspect has always set the Hera Group apart: sustainability is indeed a cornerstone of its financial and business strategies, with reference going above all to the UN's 2030 Agenda. The Group's financial tools as well, therefore, are in line with this vision. Hera made this a priority quite soon, interpreting the changes underway and providing itself with innovative models that have allowed it to take on a pioneering role in this sector and be attractive and competitive on the market. The Group was in fact the first company in Italy to issue a green bond, as early as 2014, with a similar bond issued in 2019. Two years ago, furthermore, Hera launched its first sustainable revolving line of credit, introducing a bonus mechanism for reaching specific environmental, social and governance (ESG) goals. The latter include, for example, further reducing the carbon footprint for energy production, reaching new targets in energy efficiency and improving sorted waste. Moreover, the Hera Group provides public utility services for 4.4 million citizens: creating shared value and positive side-effects for the communities served is a duty and a priority. This is one of the reasons why, for some years now, the Group has decided to measure and publicly release, in its annual sustainability report, the portion of its Ebitda that derives from activities that meet the sustainability goals set out in the UN's 2030 Agenda. This "shared value" Ebitda rose to 422.5 million in 2019, coming to 39% of total Ebitda, with a new target set at 42% for 2023, as defined in the Business plan. The Integrated Governance Index The Integrated Governance Index (IGI) is the only project that quantitatively measures the degree to which ESG factors are integrated into a company's management model (integrated governance). Developed by ETicaNews, with the scientific and legal support of associations and specialised advisors, this year marks the Index's fifth edition. In 2020, the businesses invited by IGI to participate included the top 100 listed companies in Italy, businesses that publish a non-financial statement and the country's top 50 non-listed companies, setting a record for the number of companies analysed.
